Smartsheet is seeking an experienced Corporate Counsel to serve as our first dedicated legal hire in Europe. This is a unique opportunity to take ownership of the Continental Europe legal function, working with a high degree of autonomy to support our the DACH sales team, EMEA sales operations and broader cross-functional stakeholders across the region. You will act as a trusted legal adviser to regional leadership, bringing first-class stakeholder management skills and sound commercial judgement to a fast-growing international business.

The role reports to the Director, Legal based in our London office. The position is based in Munich, Germany (hybrid working arrangement) with opportunities to travel to and work from our UK office when appropriate and approved.

Responsibilities:

• Review, draft, negotiate, and advise on a broad range of commercial and corporate agreements including SaaS services agreements, data processing agreements, employment contracts, marketing and sponsorship arrangements, and event-related agreements with a primary focus on contracts governed by German law.
• Serve as the primary legal point of contact for European operations, working independently to resolve day-to-day legal matters whilst collaborating closely with the wider legal team across global offices.
• Build and maintain the European legal framework, including localised contract templates, clause libraries, and internal playbooks tailored to German and broader European requirements.
• Leverage company-provided AI tools and deliver practical legal training and guidance to European teams on key legal issues, regulatory developments, best practices, and company policies.
• Advise on data protection and privacy matters across the region, with particular focus on the GDPR, the ePrivacy Directive, and engagement with EU and national regulatory authorities.
• Lead the localisation of standard-form agreements and drive the implementation and continuous improvement of policies, procedures, and processes for the European market, in close cooperation with customer-facing teams and business support functions.
• Support general European business operations and contribute to strategic cross-functional projects as required.

Requirements:

• Qualified to practise law in Germany (Volljurist or equivalent), with a minimum of 6 years' post-qualification experience, including at least 3 years in-house.
• Substantial experience negotiating and drafting contracts under German law is essential. Experience with French-law contracts is highly desirable.
• Full professional fluency in both English and German (written and spoken) is required.
• Proven ability to work autonomously, manage competing priorities, and exercise sound independent judgement in a fast-paced, high-growth environment.
• Strong commercial acumen with a demonstrable ability to balance legal risk against business objectives, consistent with the company's risk appetite and strategic priorities.
• Direct experience supporting sales and regional operations within a cloud software or SaaS organisation, with a strong understanding of the DACH technology market.
• Excellent interpersonal, communication, and stakeholder management skills, with the confidence to advise and influence senior business leaders across multiple jurisdictions.

An overview of this role

As a Senior People Compliance Specialist (EMEA), you'll partner with GitLab to manage compliant works council engagements across Germany (Mitbestimmung and information rights), the Netherlands (adviesrecht and instemmingsrecht), and France (CSE consultation procedures). You'll lead end-to-end processes, from preparing agendas and information packages to coordinating translations, documentation, and stakeholder inputs, so teams can move through organizational changes with clear timelines and strong governance. In this role, you'll partner closely with People Business Partners, Legal (including Employment Counsel), and business leaders to build trusted relationships, responding to information requests, and reduce compliance and operational risk through standardized guidance, training, and repeatable processes. Over your first year, key outcomes include improving process efficiency, strengthening recordkeeping and data retention practices, and becoming a go-to advisor for works council requirements and compliance across the region.

What you'll do

• Build, drive and iterate our works council engagements, processes and administration across Germany, the Netherlands, and France, ensuring compliance with information, consultation, and co-determination requirements, legal timelines, works agreements, and locally agreed service levels
• Prepare meeting agendas and comprehensive information packages for recurring works council meetings and consultations, including documentation management, translations, and stakeholder coordination
• Partner with People Business Partners, the legal team and the business to build and maintain high-trust, productive relationships with works council members through responsive, consistent support
• Collaborate with Legal, People Business Partners, and business leaders to plan and execute compliant consultation approaches.
• Advise and educate managers and stakeholders on works council requirements, timelines, and procedural best practices, including guidance for sensitive and complex topics
• Manage multiple concurrent requests and consultations independently, prioritizing work to ensure timely completion and clear communication across time zones
• Develop and maintain standardized processes, templates, training materials, and guidance to improve consistency and efficiency in works council operations
• Track, report, and maintain consultation records and metrics, responding to works council information requests and ensuring audit readiness and data retention compliance
• Partner with Employment Counsel, Legal and Privacy team on laws and regulation updates
• Act as subject matter expert on HR compliance and act in an advisory role to People Team centers of excellence, cross-functional stakeholders, and clients
• Proactively address processes to mitigate compliance and operational risk by recommending and prioritizing changes to support the business

What you'll bring

• Experience coordinating works council processes, employee relations, or labor relations in Europe, including managing inform, consult, and co-determination obligations and timelines
• Working knowledge of works council processes and requirements in at least one of Germany, the Netherlands, or France, with the ability to quickly build expertise across additional countries
• Fluency in English and proficiency in French; additional language skills are useful in a multi-country environment
• Understanding of European labor law, including information and consultation rights and common approaches to compliant stakeholder engagement
• Experience partnering with Legal, People Business Partners, and business leaders on consultation approaches for organizational changes and other sensitive matters
• Strong project management skills, including prioritizing multiple requests, maintaining clear documentation, and driving work to timely completion in a remote setting
• Clear written and verbal communication skills for diverse audiences, including preparing agendas, information packages, and training materials, and handling confidential information with sound judgment

Your Role

As a (Senior) Legal Counsel, you will take ownership of legal topics that shape the company’s growth and day-to-day operations. You will work across commercial, corporate, compliance, and regulatory areas, supporting a fast-scaling business with pragmatic, business-oriented legal guidance.

ABOUT THE ROLE

We are looking for a sharp, business-minded lawyer to join our in-house legal team. You will take ownership of a lease portfolio across multiple European jurisdictions, acting as a trusted legal partner to our operations, finance, and asset management teams. This is a hands-on role that combines deep legal expertise with a genuine appetite for process improvement and legal tech.

Lease Management & Portfolio Execution

• Own the end-to-end post-signing management of lease agreements across your portfolio 
• Monitor and ensure compliance with all contractual obligations, deadlines, and rights (e.g. rent adjustments, options, guarantees) 
• Lead the negotiation and drafting of lease-related agreements (e.g. amendments, subleases, side agreements) 
• Translate contractual provisions into practical operational guidance and ensure proper implementation 
• Oversee key commercial aspects such as deposits, guarantees, and landlord/tenant obligations 

Business Partnering

• Act as the primary legal contact for General Managers, Operations, Asset Management, and Finance 
• Provide pragmatic, business-oriented advice on real estate and lease-related matters

Regulatory & Compliance

• Ensure regulatory compliance of properties and operations, including: 
• Permits and licenses 
• Local regulatory requirements across jurisdictions 
• Monitor compliance and coordinate with internal teams and external advisors 

Disputes & Litigation

• Manage disputes and litigation across your portfolio 
• Instruct and coordinate external counsel and ensure efficient, business-oriented handling 

Process Optimization, Legal Tech & AI

• Develop and implement guidelines, playbooks, and standardised processes to ensure consistent and scalable handling of legal matters 
• Contribute to building a centralised legal knowledge base and documentation standards 
• Drive efficiency and scalability across high-volume legal workflows 
• Support and implement legal tech and AI solutions, in particular: 
• Automation of contract and obligation tracking across the portfolio 
• Streamlining internal workflows and ticket handling

ABOUT YOU

• Fully qualified German lawyer, Wirtschaftsjurist, or equivalent legal qualification from another European or UK jurisdiction, or an LL.M. 
• At least 2 years of relevant professional experience, gained in private practice or in-house 
• Experience in commercial real estate law, in particular lease agreements (ideally in a hospitality context) 
• Solid experience working with commercial leases in at least one core jurisdiction (preferably Germany, the UK, or Spain)
• Structured, hands-on, and able to manage high-volume workflows in a fast-paced environment
• Strong communication skills and a business-oriented mindset

• Fluent in English and German or another European language; additional European languages are a plus
