The Senior Corporate Counsel provides individual responsibility on a broad spectrum of legal matters received directly from the business or from Legal department supervisors. This role advises executive and senior management on matters of legal significance, analyzes compliance requirements and legal risks associated with the company's global operations, and develops practical business-oriented solutions. The Senior Corporate Counsel manages more complex and higher-level corporate matters for Robert Half and Protiviti, including risk litigation and business conflicts, and manages outside counsel as needed with minimal oversight by supervising attorneys.

What You'll Do

Routine Legal Department/Regional Support

• Take individual responsibility on broad spectrum of legal matters received directly from business or from Legal department supervisors.
• Advise executive and senior management on matters of legal significance.
• Analyze compliance requirements and legal risks associated with company's global operations and business priorities.
• Develop practical business-oriented solutions.
• Supervise the work of paralegals and Corporate and Associate Counsel level lawyers on projects.
• Prioritize and manage multiple projects.
• Provide advice to all levels of company management on a regular basis with minor supervision or feedback from supervising attorneys.
• Manage more complex and higher-level corporate matters for Robert Half and Protiviti, risk litigation and business conflicts involving and managing outside counsel as needed with minimal oversight by supervising attorneys.

Executive Advice and Support

• Provide legal advice to guide Company executives on all legal matters related to the Company's global business operations.
• Assist in shaping company strategy and allocation of resources.
• Provide ongoing advice on the complex laws and regulations that govern the company's global business operations.

Legal Project/Case Management

• Provide support to the Assistant General Counsel or Associate General Counsel on the broad spectrum of legal issues that arise from Robert Half and Protiviti's global operations.
• Interact frequently with governmental agencies, mid and senior level management and outside counsel to resolve legal and regulatory issues.
• Attend to all project deadlines, litigation or corporate filing deadlines.
• Take responsibility for accomplishing business and legal objectives with projects initiated by senior and executive management.
• Manage project and corporate filing deadlines.

Management of Outside Counsel

• Direct and manage outside counsel to develop research and resources needed to support business operations including support for market facing initiatives, employee benefits, corporate development initiatives, financial reporting, auditing, strategic alliances, tax planning and litigation.
• Make recommendations on legal issues of significance to senior legal department managers.

Research and Analysis

• Perform research and analysis on own and, as needed, work with supervising attorneys and outside counsel to analyze and recommend course of action to resolve more complex corporate matters, legal issues and litigation.
• Conduct independent review of outside law firm work and translate as needed to executive and senior management.

Communications and Engagement

• Build rapport with clients as well as within the Legal Department.
• Initiate dialog with others to solve client's concerns, which includes helping clients understand the laws that govern their business activities, collaborating with other attorneys as needed, and providing practical and compelling ideas in support of recommendations.
• Review written materials on legal matters for clarity and technical accuracy.
• Provide clear and accurate verbal summary on legal issues.
• Provide client training and education as needed.

Leadership

• Actively participate with the Assistant General Counsel and Associate General Counsel on the success of business initiatives requiring a legal perspective.
• Effectively communicate legal objectives and roles.
• Effectively communicate with stakeholders on legal developments affecting Robert Half or Protiviti operations.
• Provide hands-on training to Corporate Counsel to ensure high quality and consistent legal advice across subject matters and geographical areas.
• Provide training to other attorneys as needed.

What You'll Need

• Education level: J.D.
• 7+ years in law firm or in-house roles
• Professional certifications/licenses: California Bar Admission
• Ability to advocate persuasively and succinctly verbally and in writing
• Thought leader who will stimulate innovation and partner in process improvements
• Ability to understand complex and integrated systems and to see patterns in data
• Excellent initiative management skills
• Ability to multi-task across many high priority and time sensitive deliverables

• Minimum Required Technical Skills: Corporate, Finance, SEC Regulations, Intellectual Property, Commercial and Employment Litigation, Labor and Employment and Benefit Plans

The typical annual salary range for this position is shown below and is negotiable depending upon experience and location. The position is eligible for a discretionary annual bonus.
