Position Overview  

Entrust is looking for an experienced, practical, and business-oriented lawyer to join our global legal team. This role will be responsible for leading commercial legal support for Entrust’s digital security segment in the Americas as well as supporting strategic commercial accounts.  It will be a hybrid role based out of Entrust’s Shakopee, MN, headquarters, working closely with sales, partnerships, and other legal & compliance team members and cross-functional stakeholders. The successful candidate will bring sound judgment, strong negotiation skills, and a collaborative and pragmatic practice style to help close complex transactions that support Entrust’s growth and help secure a world in motion.

Responsibilities 

• Lead commercial legal support for Entrust’s digital security business segment in North America, including hands-on drafting, reviewing, and negotiating complex commercial agreements in a timely and business-oriented manner, with appropriate escalation of legal and business risks.
• Manage a team of 1-3 commercial lawyers and legal professionals, including work prioritization, practical guidance, development, and ensuring consistent, high-quality legal support.
• Support strategic partnerships and go-to-market models, including negotiations with system integrators, managed service providers, and other commercially significant partnerships.
• Serve as a legal advisor to sales leaders and cross-functional stakeholders, building strong collaboration and helping quantify risks, evaluate options, and present clear recommendations.
• Work collaboratively across legal, sales, product, finance, procurement, compliance, information security, and other teams to coordinate resources and resolve issues in complex negotiations.
• Develop a deep understanding of Entrust’s solutions, business practices, partner ecosystem, and strategic priorities to provide advice that is legally sound and commercially practical.
• Build and improve upon scalable contracting processes and tools, in collaboration with Legal Operations, including playbooks, templates, and negotiation guidance.
• Efficiently manage a high volume and variety of transactions and projects while independently prioritizing competing demands to meet business needs.
• Adopt an engaging, proactive, and solutions-oriented style of legal practice to best serve internal clients, partners, and customers.
• Work effectively in a global, multi-jurisdictional team environment and take on other responsibilities within the legal department as business needs evolve, including potential support of acquisitions and integrations and other strategic initiatives.

Basic Qualifications:  

• JD from an accredited law school.
• Admission to the Bar of at least one state (preferably MN)
• Must be able to lawfully work in the US and have unrestricted US work authorization.
• 8+ years of relevant post-law school experience, including experience in an in-house corporate legal environment supporting complex commercial technology transactions.
• Strong skills in interpreting, drafting, and negotiating sophisticated contracts, preferably including agreements for hardware, software, managed and hosted services, cloud services, SaaS technologies, support, professional services, and partnerships.
• Proven ability to work collaboratively and independently, manage multiple projects, and effectively balance competing business priorities.
• Strong written and verbal communication skills and ability to provide practical, business-oriented advice, think strategically, and present alternative solutions to stakeholders.
• Ability to travel as necessary, estimated at up to 10%.

Preferred Qualifications: 

• Proven experience leading team of lawyers and/or legal professionals.
• Experience supporting complex technology negotiations in cybersecurity, digital identity, credential issuance, cryptography, or information security industries.
• A technical background or demonstrated ability to quickly understand complex technology, security, software, cloud, and identity-related offerings.
• Experience with regulated financial institutions or other highly regulated spaces.
• Experience structuring and negotiating agreements for varied go-to-market models and strategic partnerships.

• Superior interpersonal, organizational, and stakeholder-management skills, with experience building relationships with stakeholders/internal clients across functions and geographies.

• Highly adaptable and agile; comfortable with uncertainty, ambiguity, and evolving business priorities.
• Ability to solve problems creatively, exercise sound judgment, and demonstrate high integrity.

Compensation Range:

The anticipated starting base pay for this position is: $173,239-$254,084 per year (in the primary posting location). Actual compensation will be determined based on geographic location, education, skills and experience. This position is also eligible for the company’s discretionary annual incentive plan.
