About the Role
Lloyds Technology Centre is seeking an experienced Company Secretary to lead corporate governance, board support, statutory compliance and regulatory affairs for its India entity. The role will also provide advisory support on governance, CSR, legal and regulatory matters, working closely with senior leadership, the Board and key stakeholders.
Key Responsibilities
Corporate Governance & Company Secretarial
- Lead all company secretarial, corporate governance and statutory compliance activities.
- Manage Board, Committee and Shareholder meetings, including agendas, papers, minutes and resolutions.
- Ensure compliance with the Companies Act, 2013, Secretarial Standards, FEMA and other applicable regulations.
- Manage statutory filings, annual returns, governance registers and corporate records.
- Maintain delegated authority, authorised signatory and governance frameworks.
- Advise the Board and leadership team on governance, regulatory and compliance matters.
- Liaise with regulators, auditors, external counsel and statutory authorities.
- Monitor regulatory developments and drive governance best practices.
Legal, Regulatory & Compliance Advisory
- Provide practical advice on corporate, governance and regulatory matters.
- Support implementation of regulatory changes and internal governance initiatives.
- Partner with Legal, Compliance, Risk, Finance, P&P and Internal Audit teams to strengthen control frameworks.
- Review governance policies, disclosures and regulatory submissions.
- Support regulatory inspections, audits and corporate projects as required.
Corporate Social Responsibility (CSR)
- Support the CSR Committee and Board on CSR governance, approvals and statutory obligations.
- Maintain CSR policies, annual action plans and governance documentation.
- Support due diligence of implementing agencies and review CSR-related agreements.
- Coordinate CSR reporting, disclosures, compliance monitoring and Board updates.
- Track regulatory developments and support impact assessment and governance requirements.
Candidate Profile
- Qualified Company Secretary and member of ICSI.
- 10-15+ years' experience in company secretarial, governance and compliance roles.
- Strong knowledge of the Companies Act, Secretarial Standards, FEMA and corporate governance requirements.
- Experience supporting Boards, Committees and senior leadership teams.
- Exposure to banking, financial services, fintech, GCCs or multinational organisations preferred.
- Additional legal qualification (LLB) and CSR governance experience desirable.
- Strong stakeholder management, drafting and advisory skills.
