Scope and Responsibilities

Based in Hyderabad and reporting to the Senior Vice-President, Legal (Singapore / Asia), this is a new role within Oaktree's expanding Asia legal team. The chosen candidate will be primarily responsible for providing legal advice in respect of Oaktree's APAC investment platform, including regulated entities, inbound investment structures and portfolio company matters.

Responsibilities will include:

• Assist on transactions varying in scale and scope, primarily distressed debt, real estate and special situations transactions within India; key geographies currently include India, China, Hong Kong, Japan, Korea, Australia, Singapore and the Middle East;
• Support the broader APAC legal team on transactions across the region, partnering closely with Oaktree investment teams, portfolio managers and corporate legal colleagues in Los Angeles, London, Hong Kong and Singapore;
• Advise on and support the structuring, establishment and ongoing maintenance of India-regulated investment vehicles, including SEBI-registered Alternative Investment Funds (AIFs), Foreign Portfolio Investors (FPIs) and entities domiciled or operating in GIFT City (IFSCA-regulated structures);
• Liaise with and manage Indian and regional external counsel (law firms and regulatory consultants) in connection with investment execution, portfolio monitoring and regulatory filings;
• Support the team on SEBI regulatory compliance matters applicable to AIFs and FPIs, including reporting obligations, KYC/AML requirements and investor on-boarding;
• Support the maintenance and corporate governance of investment holding entities and SPVs, working alongside internal corporate secretarial support and external service providers;
• Monitor and analyze regulatory developments in India and other key jurisdictions relevant to foreign investment, capital markets and alternative asset management, and communicate implications to internal stakeholders; and
• Work independently on legal projects under the general direction of management.

Experience Required

• Willingness to relocate to Hyderabad, if necessary;
• Minimum 10 years of relevant post-qualification experience, preferably in the funds/regulatory or M&A/finance practice of a top-tier Indian law firm (Tier 1 / Tier 2 ranking);Indian law qualification is mandatory; exposure to cross-border legal work is an advantage;
• Demonstrable hands-on experience advising on SEBI-regulated entities, including Category I / II / III AIFs and FPI registration and compliance matters;
• Working knowledge of GIFT City (IFSCA) regulatory framework, including IFSCA-regulated fund vehicles, fund management entities and permissible activities;
• Strong understanding of foreign investment regulations in India, including FEMA, FDI Policy, ECB guidelines, downstream investment norms and RBI approval processes;
• Strong working knowledge of compulsorily convertible instruments (CCDs, CCPs) as equity instruments under FEMA; candidates should also demonstrate meaningful experience in at least two of the following priority areas: (i) debenture trust deeds and security creation / perfection under Indian law; (ii) real estate lending transactions; (iii) private credit structures; and (iv) distressed / special situations investing in India;Prior in-house experience at a global or multi-strategy asset management firm is preferred; 
• Outstanding academic credentials in law (LLB / BA LLB / BBA LLB) from a recognized National Law School or equivalent top-tier institution;
• Stellar follow-up and organizational skills with strong attention to detail;
• Proven ability to manage tasks with competing priorities and deadlines, independently determining order of priority; and
• Mature and exceptional communication and interpersonal skills (both written and verbal).
