The Role

Marigold is seeking an experienced Senior Corporate Counsel to serve as a practical, business-minded legal partner to our Sales, Procurement, Finance, Security, Privacy, Product, and other cross-functional teams. Reporting to the Chief Legal Officer, this full-time role will primarily lead the review, drafting, and negotiation of complex customer-facing revenue agreements and buy-side vendor agreements for a global software business.

This is a senior individual-contributor role for an attorney who can independently identify and translate legal risk into clear business guidance, move commercial matters forward without losing sight of appropriate protections, improve contracting practices, and operate with sound judgment and limited oversight.

What You’ll Do

• Lead the drafting, review, and negotiation of customer-facing commercial agreements, including SaaS and software agreements, master services agreements, order forms, statements of work, amendments, NDAs, data protection addenda, security terms, and partner or reseller agreements.
• Lead the review and negotiation of vendor and procurement agreements, including software, cloud, professional services, consulting, marketing, technology, and other third-party agreements.
• Partner closely with Sales and Revenue Operations to support strategic and high-value transactions, resolve contracting issues, and provide clear, timely guidance on acceptable risk positions.
• Advise Procurement, Finance, Information Security, Privacy, Product, and business owners on vendor risk, commercial terms, data use, intellectual property, confidentiality, security, liability, indemnification, and termination rights, while partnering with internal privacy stakeholders and outside counsel as appropriate.
• Own assigned commercial matters from intake through execution, prioritizing work based on business impact, transaction value, risk, and timing, and support corporate, employment, compliance, dispute, and legal operations matters as business priorities require.
• Develop and improve contract templates, playbooks, clause libraries, fallback positions, approval standards, and self-service resources; identify recurring negotiation issues and recommend practical process improvements that reduce cycle time and strengthen partnership between Legal and the business.

About You

You bring deep technology and SaaS contracting experience, exercise sound judgment, and communicate legal risk in practical business terms. You are comfortable owning sophisticated negotiations, balancing competing priorities, and working independently within a lean, collaborative legal team.

Ideal Qualifications

• Juris Doctor from an accredited law school and active membership in good standing in at least one U.S. state bar.
• Typically 5–7 years of relevant legal experience, including substantial in-house commercial contracting experience within a technology, SaaS, or similarly complex business environment.
• Demonstrated experience independently negotiating sophisticated customer and vendor agreements involving material commercial, privacy, security, intellectual property, indemnification, limitation of liability, and regulatory terms.
• Strong experience partnering directly with Sales on revenue-generating transactions and with business stakeholders on vendor and procurement matters.
• Ability to evaluate legal and business risk, establish priorities, make sound decisions, and explain recommendations in concise, practical language.
• Strong drafting, negotiation, project-management, and stakeholder-management skills, with consistent attention to detail, responsiveness, and comfort taking ownership with limited supervision.

Nice to Have

• Familiarity with global privacy requirements, data protection addenda, security reviews, or cross-border commercial matters. Marigold’s Data Protection Officer and other internal stakeholders will provide subject-matter guidance on privacy requirements.

• The Chief Legal Officer can confidently delegate complex commercial matters with minimal day-to-day oversight.

Compensation & Benefits

Compensation

The base salary range for this role is $185,000 - $195,000 annually.

The compensation range represents the pay the Company reasonably expects to offer for this position. Actual compensation will be determined based on factors such as skills, experience, qualifications, internal equity, geographic location, and applicable law.
