This is a great opportunity to be the first person in the Philippines to hold this specific corporate attorney position, joining two existing virtual attorney VAs in a well-established remote work structure. The role offers growth opportunities, particularly in trademark and IP work where you’ll have greater independence over time.
Duties and Responsibilities:
- Lead corporate formation processes and documentation (primary focus for first 3-6 months)
- Provide support to senior partners on broader corporate and business law matters.
- Assist in mergers and acquisitions transactions, including due diligence and documentation support.
- Support ongoing contract management, including tracking, organizing, and maintaining corporate agreements.
- Communicate directly with clients to gather information, provide updates, and address legal queries.
- Prepare and review operating agreements, shareholder agreements, bylaws, and other corporate documents.
- Assist clients with trademark searches, applications, registrations, and related intellectual property matters.
- Conduct legal research and prepare correspondence, memoranda, and other legal documents.

Requirements
Must-have Skills / Qualification:
- Minimum of three (3) years of experience handling corporate and business law matters, including business entity formation, corporate governance, contract drafting and negotiation, business transactions, mergers and acquisitions, and general corporate counsel services from either a law firm or an in-house legal environment.
- Prior experience working with a US-based company or law firm is required.
- Strong analytical, legal research, drafting, and negotiation skills, with the ability to provide practical legal advice and sound business judgment.
- Excellent written and verbal communication skills, with the ability to manage client relationships professionally and deliver exceptional legal service.
- Self-motivated and capable of working both independently and collaboratively, with the ability to independently manage legal matters from inception through completion.
- Candidates must be licensed attorneys in good standing.
- Demonstrated career stability with meaningful tenure in previous roles (measured in years, not short-term engagements).
Nice-to-Have Qualifications:
- Experience in trademark registration, enforcement, and related intellectual property matters.
