The role 

We are looking for an outstanding and diligent Technology Commercial Legal Counsel with an excellent track record, a strong work ethic, and exceptional attention to details to join our dynamic Legal team based in Tel Aviv.

You will take ownership of drafting, reviewing, and negotiating critical worldwide agreements that underpin Tavily’s business operations, while ensuring our compliance with global privacy and data protection regulations.

Your responsibilities will include: 

• Draft, review, and negotiate a wide range of commercial agreements, including customer, vendor, consulting, referral, reseller and NDAs.
• Support and enhance Tavily’s privacy and data protection program, ensuring compliance with applicable regulations such as the GDPR, CCPA, and other global standards.
• Review and negotiate DPAs and provide ongoing legal guidance on privacy matters.
• Partner with cross-functional teams, including Product and R&D, to identify legal needs and implement best practices.
• Draft employment-related documents and advise on employment law matters.
• Provide legal support on corporate matters.
• Collaborate with stakeholders across the company to assess legal risk and develop practical mitigation strategies.

We expect you to have: 

• Bar admission in the U.S., EU or Israel.
• LL.B. or equivalent law degree, from a top-tier university.
• 3-6 years experience post internship/trainee program, practicing commercial and privacy law, at both leading law firm and as in-house counsel at a tech company.
• Strong experience in drafting and negotiating technology commercial agreements (including DPAs).
• Experience with global privacy regulations (such as the GDPR, CPRA, U.S. state privacy laws).
• Experience with U.S. copyright and intellectual property laws.

Role Overview

Nebius is seeking a talented Senior Legal Counsel to join our dynamic legal team. In this role, you will support Nebius’ expanding operations across EMEA. You will work closely with our business development teams supporting global investment and M&A transactions, and in addition you will be handling other IL and MEA matters. All to support our fast global growth.

Key Responsibilities

• Draft, review advice and negotiate asset purchase agreements, investment transactions and mergers and acquisitions
• Draft, review advice and negotiate SaaS, Paas and IaaS/HaaS agreements
• Draft, review, advise, negotiate and manage a broad range of commercial agreements
• Draft, review, advise, negotiate on some labor related matters independently or with the aid of external counsels
• Coordinate and manage external counsel to ensure cost-effective, high-quality legal support
• Monitor specific regulatory developments affecting Nebius’ activities
• Collaborate with cross-functional teams to optimize processes and risk management
• Hands-on, diligent, and solution-oriented

Key Qualifications & Experience

• License to practice law in Israel and/or the US
• At about 7 years of relevant experience as a senior associate in a top-tier law firm or as an in-house legal counsel
• B from a top tier university
• Proven experience in the legal work on APAs, M&A transactions and investment transactions (for lead investor)
• Proven experience in supporting Hi Tech companies (in various stages of growth), in various aspects (from labor through corporate)
• Experience in technology agreements SaaS, PaaS and IaaS/HaaS agreements, SLAs T&Cs and the like
• Strong understanding of commercial and corporate law
• Able to work under short deadlines
• Excellent communication and contract negotiation skills in English
• Proactive, pragmatic, and business-oriented approach with the ability to work independently
• Understanding privacy and AI legislation and trends are an advantage

Responsibilities

• Provide legal support and strategic advice on a wide range of topics, including data protection, cybersecurity, HR/employment, private fund investment funds  and commercial matters.
• Draft, review, and negotiate various commercial agreements, including vendor, SaaS, partnership, data processing, and employment-related contracts.
• Advise internal teams — including IT, Security, HR, Engineering and Finance — on compliance with applicable laws and company policies.
• Ensure compliance with global privacy and data protection frameworks (GDPR, CCPA, Israeli law, etc.) and collaborate with security teams to align contractual and operational security requirements.
• Contribute to the development and implementation of company-wide legal, privacy, and security governance frameworks.
• Provide practical, business-focused solutions to complex legal questions in a dynamic fintech and data-driven environment.

Requirements

• LL.B, J.D., or equivalent, and license to practice law in Israel.
• 5+ years of experience in commercial, technology, or corporate law — with exposure to data protection, cybersecurity, or employment law being a strong advantage.
• Proven experience drafting and negotiating complex commercial agreements (B2B SaaS, data licensing, service agreements, etc.).
• Solid understanding of privacy and data protection laws (GDPR, CCPA, Israeli law).
• Familiarity with information security frameworks (ISO 27001, SOC 2) and/or employment compliance practices – an advantage.
• Excellent analytical, drafting, and negotiation skills, with the ability to communicate clearly and effectively to both legal and non-legal stakeholders.
• Fluency in English – a must.

What will you do?

• Own commercial contracts end-to-end – Review and negotiate customer and vendor agreements with fast turnaround and practical, business-focused guidance
• Lead corporate governance and compliance – Oversee governance matters, employment law issues, and ensure ongoing compliance with corporate requirements
• Drive risk management and regulatory strategy – Monitor global regulations (privacy, AI, IP), assess impact, and operationalize compliance across the organization

• Broad legal foundation – Solid knowledge across corporate governance, employment law, IP, privacy, and risk management
• Strong commercial judgment – Proven ability to negotiate complex agreements while balancing risk and business objectives

What You’ll Do

• Serve as a legal business partner to Eon’s revenue and product teams across Israel and the US, translating legal concepts and risks into practical business guidance.
• Draft, review, negotiate, and manage a wide range of commercial agreements, including those with US-based customers and partners, as well as global suppliers supporting marketing, operations, and product needs.
• Partner with product and engineering teams on technology and AI-related legal matters, including identifying and mitigating associated risks.
• Support privacy and data protection compliance, including advising on data processing frameworks and cross-border data transfer considerations.
• Help design, implement, and improve legal processes, templates, and workflows to support scalability and efficiency.
• Manage a high-volume workload, prioritize effectively, and deliver results in a fast-paced environment.
• Ensure agreements comply with company policies and risk tolerance.

What You’ll Bring

• 4+ years of legal experience, with in-house experience strongly preferred, particularly in a fast-growing software or technology company.
• Admission to the bar and in good standing, or otherwise authorized to practice law in Israel or New York (mandatory).
• Experience working with or supporting US-based customers, teams, or legal frameworks.
• Strong commercial mindset, with the ability to balance legal risk with business objectives and support deal execution.
• Strong contract drafting and negotiation skills, particularly in SaaS agreements, professional services agreements, partner agreements, and supplier agreements.
• Experience working with product and technology teams, with a solid understanding of SaaS business models.
• Familiarity with data privacy and protection laws, including experience handling Data Processing Agreements (DPAs); experience with US and global privacy frameworks is a strong advantage.

Must have

• Interest or experience in AI-related legal considerations is a plus.
• Proven ability to build or improve legal processes and support operational scale.
• Additional experience in employment law and/or corporate matters is a plus, but not required.
