The Associate Corporate Counsel will be responsible for the review, drafting, and negotiation of a wide range of commercial agreements, while providing practical, business-oriented legal advice to internal stakeholders. This role will serve as primary legal partner for day-to-day contracting needs of designated business functions and works closely with senior attorneys and cross-functional stakeholders to provide practical, risk-based legal advice while helping to drive efficient contracting processes in a dynamic biotech environment. Key Responsibilities

• Primary responsibilities include leading the drafting, review, negotiation, and execution of a broad array of commercial, procurement, and other contracts supporting the company’s US and EU commercial, R&D and clinical operations, including master service agreements and related statements of work, manufacturing and supply agreements, quality agreements, confidentiality agreements, consulting agreements (including with healthcare professionals), SAAS agreements, staffing agreements and other contracts.

• Support contract intake and prioritization in coordination with Legal Operations.

Requirements

• 5+ years of relevant experience, including drafting, reviewing, revising, and negotiating complex agreements and providing legal counsel on contracts and transactions. In-house experience in the life sciences or pharmaceutical industry is preferred.
• J.D. degree from an accredited U.S. law school (or the equivalent); high academic achievement.
• Licensed to practice law in one or more U.S. states; either admission to the New Jersey Bar or eligibility for in-house qualification in New Jersey.

The Assistant General Counsel is charged with supporting the General Counsel and Legal Team in identifying and advising on organizational legal risks and opportunities. • Experience managing day-to-day HR administration including employee relations, workers’ compensation, compliance, onboarding, and performance management.
• Working knowledge of employment law and OSHA requirements.
• Demonstrated ability to support hourly and frontline workforces in fast-paced operational settings.
• Strong communication, prioritization, and problem-solving skills with the ability to balance empathy and firm, fair decision-making.
• Highly organized with strong attention to detail, especially in case documentation and compliance tracking.

Compensation Range

• The US base salary range for this full-time position is $72,000 - $85,000
• This role may be eligible to discretionary bonus, incentives and benefits 
• Our salary ranges are determined by role, level, and location

We are currently looking for a Senior Associate General Counsel to work within the Franchise Brands Legal Department of Compass International Holdings, including the following franchised brands:  Better Homes and Garden® Real Estate, CENTURY 21®, Coldwell Banker® and Coldwell Banker Commercial®, Corcoran ®, Christie’s International Real Estate, ERA ®, Sotheby’s International Realty® and @properties®. 

This is a fully onsite role based out of our NYC, Madison (NJ), Los Angeles or San Francisco offices.

The Senior Associate General Counsel position is responsible for reviewing, drafting, negotiating, and providing advice to our brands on franchise sales and renewals, addenda to existing agreements, ongoing rights and obligations under agreements, new product development, marketing programs, vendor contracts, franchisee disputes and franchisee compliance matters and advising senior management on strategic matters. 

This role will work closely with the shared service departments that support the franchised brands, such as Franchise Sales, Franchise Enablement, Finance, Human Resources, Compliance and Cross-Brand Marketing.  

The role will interface and coordinate with corporate legal functions such as Litigation, IT, Intellectual Property, and Employment Law.  

Key Responsibilities: 

• Drafting and negotiating franchise agreements and related documents to help the business attain growth and retention goals 

• Negotiating vendor contracts preferably with some SaaS, Information Technology experience 

• Reviewing marketing materials for legal compliance  

• Providing expert advice to the company on laws, rules and regulations affecting the business 

• Providing guidance to business clients on ways to achieve business success while minimizing risk 

• Partnering with the business on key critical initiatives 

• Proactively identifying and communicating potential issues early on 

• Thought leadership on continuous process improvement opportunities

Minimum Qualifications: 

• JD Degree from an accredited law school 

• Minimum of 7-10 years of legal experience  

• Franchise law experience required 

• Some in-house legal experience preferred

• Attention to detail and strong organizational skills 

• Preference for understanding of franchise laws and regulations

• Under the supervision and guidance of senior attorneys, proactively manage a litigation caseload, helping oversee cases from beginning to end
• Conduct legal research and analysis related to transportation laws, regulations, and legal standards
• Draft pleadings, motions, briefs, legal memoranda, and other legal documents
• Attend court hearings, depositions, and mediations
