The Sr. Corporate Counsel will report to the General Counsel and assist on all aspects of legal operations of the business with a primary focus on drafting, reviewing, negotiating and administering contractual documents that establish business relationships with customers, vendors, employees and partners. Your day to day: 

• Overall responsibility for quickly reviewing the terms and conditions of all contracts to be the most advantageous from a legal and business perspective

WHAT YOU’LL BE DOING:

• Legal Counsel & Partnership: Act as a trusted legal counsel of contract team and advise to commercial, technology, and HR  teams, offering pragmatic, business-oriented legal advice on a wide array of issues. Build and sustain trust across the company by delivering high-quality, responsive, and business-aligned legal support.
• Contract Management & Negotiation: Draft, review, and negotiate contracts with counterparties across diverse jurisdictions, ensuring enforceability and compliance with applicable governing laws. Prepare and negotiate term sheets (letters of intent) and draft final agreements based on agreed terms. Manage the entire contract lifecycle, from drafting and internal approval to closing, while meticulously documenting all negotiation stages.
• Documentation & Compliance: Guide internal teams on the use of standard form documents and templates, and assist the legal team in their regular update and development. Maintain and organize the contract repository, power of attorney database, and project workspaces (e.g., Notion, Confluence). Prepare management reports summarizing contract activity, negotiation progress, and project status. Perform quality control ("second-pair-of-eyes") reviews of Legal and Compliance documentation. Requirements

• Must hold an active state pharmacy technician license

The Patient Outreach Supervisor will be a front-line manager for the Patient Outreach team, a team dedicated to communicating with potential patients about the value of hospital base pharmacies. They will be responsible for the development, maintenance, and growth for a team of highly efficient and trained Patient Outreach Coordinators and Onboarding Specialists. They will also maintain and build strong collaborative relationships with their partnering Hospital sites and regional operations teams. The Patient Outreach Supervisor will counsel Patient Outreach Coordinators and Onboarding Specialists on incorrect conversational topics, documentation or workflow deficiencies, and will escalate other performance concerns to the Manager of Patient Outreach.

The Patient Outreach Supervisor will take ownership of each site they supervise with regards to workflow, communications, training, access requests, growth opportunities for the business as well as managing day to day personnel.

Job Duties:

• Ensure Patient Outreach Coordinators consistently communicate with patients compliantly and convey the culture of kindness and value of the hospital-based pharmacies
• Coach Patient Outreach Coordinators on calling best practices, conversational techniques including how to listen, understand, respond, and confirm patients’ concerns about their care, pharmacy needs, and socioeconomic situations
• Complete audits of team in DialPad, TelemetryRX application, Electronic Medical Records, and other required systems to ensure effective communications with patients, efficient workflow, and compliant conversations with potential patients of hospital partner pharmacies
• Work with a high sense of urgency to manage, monitor, and facilitate any issues and/or escalations related to Outreach Coordinators with hospital partners
• Establish efficient workflows between Patient Outreach Coordinators, Onboarding Specialists and liaison team via collaboration with clinical integration team, on site managers, and Patient Outreach Management
• Manage all aspects of ADP, PTO, and Time Reports for team members
• Provide front line supervision and ongoing coaching and performance management to Patient Outreach Coordinators
• Monitoring and acting all forms of communications between Patient Outreach and other clinical and operational teams as needed
• Manage Telemetry application, email, Microsoft teams communications up to company policy
• Work with on site management at hospital partners for any collaboration calls, such as quarterly calls, kick off calls, as needed calls
• Patient Outreach team meetings: creating agendas, running meeting, follow up
• Hospital Management meeting: calls with on site manager to review current status, identify areas for improvement, and areas of success
• Record keeping/notes of all collaboration calls and team meetings
• Providing guidance/assistance/troubleshooting in daily tasks for Patient Outreach team members as requested by Patient Outreach Coordinators and Onboarding Specialists
• Review and address any concerns with Patient Outreach team, and hospital partners as needed
• Provide insight to various teams across company for growth and development opportunities as needed
• Work with various teams for special projects
• Report on hiring needs based on implementation roll outs
• Assist in interviewing, and onboarding new Patient Outreach Coordinators and Onboarding Specialists including coordinating access requests and trainings
• Investigate research needed for data analytics team, contracting team as needed
• Report to Manager of Patient Outreach

Experience/ Education:

• High school degree or equivalent; Bachelor’s degree in business administration, business, or related field preferred
• Years of Experience: Required 5+ years customer support, client services, sales with a demonstrated and proven sales record
• Have a desire and aptitude for leading others and the ability to establish credibility within a team environment.
• Be very organized with attention to detail and have great interpersonal skills, high integrity, be dependable and a good listener and an empathetic communicator. 
• Strong phone skills, highly proficient in Microsoft Office particularly Excel and Word, able to quickly learn other database programs (knowledge of the Willow, Qs1, and RX30 software system a plus) and able to identify relevant information with a focus on quality is also desirable.

We are looking for a junior to mid-career attorney with interest and experience in matters relating to product and privacy counseling to join our in-house legal department as Legal Counsel, reporting to the Associate General Counsel.

You are responsible for:

• Advising product, engineering and design teams on legal issues related to feature development, launches, experiments and ongoing platform operations.
• Supporting legal review of new products, product changes, and technical initiatives around the Wikimedia projects.
• Supporting the draft, review and maintenance of user-facing terms, disclosures, policies, FAQs and internal guidance.
• Counseling on product, privacy, data use, consumer protection, intellectual property, accessibility, online safety and related product issues.
• Partnering with cross-functional teams to identify legal risk early and develop practical, mission-aligned solutions.
• Monitoring and helping assess legal and regulatory developments that may affect Wikimedia’s projects globally.

Skills and Experience:

• J.D. from accredited U.S. law school or equivalent foreign degree, and admission to practice law in that jurisdiction.
• 2-5 years experience with legal review of technical products or online services.
• Excellent written and verbal communication skills and attention to detail, full fluency in written and spoken English.

Description

As the Senior Legal Counsel, you will be responsible for providing holistic in-house legal guidance to the Fundraising, Product, and Engineering teams, ensuring the Foundation can innovate while protecting the privacy of its global community. In this role, you will navigate evolving regulations in marketing and AI, advise on the development of the Wikimedia technical platform, and help build a global legal ecosystem where free knowledge can thrive.

This role reports to the Associate General Counsel and will focus on Wikimedia’s current and future legal work as it relates to marketing and fundraising engagement, and disintermediation.

You are responsible for:

• Analyzing current and forthcoming regulations related to marketing, customization, and other fundraising initiatives to support Advancement, Product and Technology teams on marketing and mobile app development
• Collaborating with the Foundation's lawyers and public policy professionals to address the impact of Generative AI and create a global legal ecosystem in which free knowledge can thrive with minimal disintermediation
• Identifying and executing opportunities to advance the Wikimedia mission within a complex, shifting technological and legal landscape
• Supporting the Product and Engineering teams in developing a data governance model that allows for novel features while maintaining high privacy standards, for example in the space of reader engagement

Skills and Experience:

• J.D. from accredited U.S. law school or equivalent foreign degree preferably paired with significant U.S. legal experience
• Experience with product, privacy, marketing and other internet law issues, advising a user-facing digital technology or internet company (e.g., as in-house counsel), preferably with global reach
• 5-7 years experience with legal review of go-to-market, fundraising, technical products or online services
• Significant experience working with engineering colleagues as a counselor and advisor to achieve organizational goals
• Excellent written and verbal communication skills and attention to detail, full fluency in written and spoken English

The Mission

We are a Delaware-incorporated, remote-first serial acquirer of SaaS companies across North America and Europe. With a portfolio spanning 6+ jurisdictions, a $100M debt facility, and a 400-person global team, our complexity is high, but our team is lean.

We are looking for our first General Counsel & Head of Legal Ops. We don't want to build a massive legal department; we want to build a massive legal advantage. You will be the architect of an AI-augmented legal and tax function that enables us to acquire 5+ companies per year with unprecedented speed and structural efficiency.

The "AI-First" Mandate

In this role, your "Junior Associate" and "Tax Senior" are Large Language Models (LLMs). You will:

• Scale through Automation: Implement AI-driven due diligence to audit hundreds of SaaS contracts in hours.
• AI-Augmented Tax Structuring: Use advanced AI agents to perform "first-pass" research on cross-border tax treaties (US/EU), transfer pricing logic, and permanent establishment risks.
• Self-Serve Governance: Deploy internal AI tools to handle 80% of routine queries from our global team regarding SARs, HR compliance, and NDAs.
• Outside Counsel Optimization: Act as a "sophisticated buyer" of legal and tax services—using AI to verify work and ensuring we only pay for high-level "human-in-the-loop" sign-offs.

Key Responsibilities

• M&A Execution: Lead the legal lifecycle of ~5 acquisitions/year. Own the SPA, manage local counsel in Europe/NA, and drive deals to close.
• Strategic Tax Structuring: Work at the intersection of legal and finance. Use AI to model tax-efficient deal structures (Asset vs. Share) and maintain our global transfer pricing framework between Delaware and our European subsidiaries.
• Debt & Capital: Manage our $100M debt facility—handling drawdowns, ensuring covenant compliance, and managing lender relations.
• Global People Ops: Oversee compliance for a 400-person workforce (FTEs, Contractors, EOR) across Germany, Austria, France, Finland, Canada, and the US.
• Equity (SARs): Manage and scale our Stock Appreciation Rights program globally.

Who You Are

• The M&A Quarterback: You have 6–10 years of experience (JD/LLM required), likely coming from a top-tier Private Equity or M&A practice.

Profile Overview

As our first legal hire, you will build the legal function from the ground up, ideally super-lean by leveraging software, AI, and automation to maximize efficiency—minimizing the need for additional headcount or external counsel. We are a fast-moving serial acquirer of SaaS companies with a global team and a significant debt facility. You will be a key partner to the executive team, ensuring our acquisition engine runs smoothly, our global compliance is airtight, and our corporate governance supports our long-term growth.

Your immediate impact in the first 3-6 months will be:

• Establish a scalable, AI-driven legal operations framework to minimize reliance on external counsel.
• Audit and streamline the legal due diligence process for our M&A pipeline to support ~5 acquisitions per year.
• Take full ownership of the corporate secretarial duties and governance for our Delaware parent and global subsidiaries.

Your responsibilities

• M&A Execution: Lead legal due diligence and partner with the M&A team and the board during transaction execution; manage outside counsel across various jurisdictions to ensure deals are closed on time and within budget.
• Corporate Governance: Manage our Delaware parent entity and subsidiaries in Germany, Austria, France, Finland, Canada, and the US, acting as the corporate secretary for board meetings.
• Capital Structure & Debt: Oversee the legal requirements of our $100M debt facility, including compliance with financial covenants and reporting obligations.
• Global Employment & HR: Partner with People Ops to manage a hybrid workforce of 400+ (FTEs, Contractors, and EORs) and ensure our SAR (Stock Appreciation Rights) program is compliant.
• Commercial & SaaS: Streamline customer contracts and privacy policies (GDPR/CCPA) across the portfolio to ensure best-in-class standards.
• Risk & Compliance: Build scalable processes for IP protection, data privacy, and internal audits.

What You bring to the table

• Legal Qualification: JD, LLM, or equivalent degree, admitted to practice in a major jurisdiction (US or EU preferred).
• M&A & Private Equity Expertise: 6+ years of experience with a heavy emphasis on M&A or Venture Capital; in-house experience at a "buy-and-build" platform is a major plus.
• Cross-Border Proficiency: Comfortable navigating both US and European legal frameworks in a remote-first, asynchronous environment.
• Operational & AI Mindset: You view legal as a business enabler and are eager to adopt AI tools (like ChatGPT Enterprise or Gemini) to scale efficiency.
• Strategic Influence: Ability to set functional strategy, align with senior leadership, and act as a multiplier across the organization.
