Director & Legal Counsel, Investments

The opportunity

As the Director & Legal Counsel based in Singapore, you will provide integrated, strategic and risk-adjusted legal advice across all asset classes in the APAC region. You will report to the Managing Director & Associate General Counsel based in our London office.  

Who you'll work with

As part of the Singapore investment counsel team, you will work closely with OTPP investment professionals, as well as colleagues in the tax, compliance, government & public affairs, finance, risk and enterprise legal teams. 

What you'll do

• Independently lead and manage legal workstreams on assigned transactions, covering all asset classes across the APAC region

• Negotiate, structure and execute complex transactions (e.g. mergers and acquisitions, dispositions, joint ventures, fund investments, and minority equity investments) throughout the investment cycle from diligence through to closing, asset management and exit

• Advise on regulatory, governance and other legal matters arising from OTPP’s investments, including merger control, foreign investment regulation, financial regulation, securities laws, investigations and disputes

• Collaborate with investment professionals and functional partners to identify and mitigate legal and reputational risk, and support value creation initiatives

• Retain, supervise and manage external legal counsel

• Build trusted relationships with investment teams, internal and external partners, and senior management and legal teams at portfolio companies 

• Represent the legal function at investment team meetings and committees, review investment committee materials and support transaction approval processes 

• Provide strategic legal advice to investor and senior leaders across the APAC region, as well as the Global General Counsel, Investments and the Chief Legal and Corporate Affairs Officer

• Contribute to the planning and implementation of critical initiatives in support of the strategy of OTPP and the Corporate Affairs division

• Monitor relevant legal and regulatory developments and emerging risks, assess their implications, obtain specialist input as needed and escalate material issues to senior management 

• Promote collaboration and knowledge sharing across Corporate Affairs, including by providing legal training to investment professionals

• Provide support on general corporate matters related to OTPP’s business in the APAC region

What you'll need

• LLB/JD/equivalent common law degree 

• At 7 seven years’ post-qualification experience gained in a leading international law firm and/or in-house role focused on transactional corporate work in APAC 

• Proven ability to advise on complex, multi-jurisdictional corporate and regulatory matters and work independently and proactively in a fast-paced environment 

• Excellent commercial judgment and alignment with OTPP’s values 

• Strong critical and strategic thinking, negotiating and influencing skills

• Strong presentation, written and verbal communication skills, and ability to adapt to the audience to deliver advice and advocate positions effectively

• Flexibility and adaptability, including willingness to work outside of traditional working hours and undertake international travel occasionally to support transactions and projects

• You will be a highly-motivated, intellectually curious and collaborative professional with exceptional integrity 

• Fluent English, with business proficiency in an additional Asian language being desirable
