Position Overview

Autodesk is hiring an experienced Subsidiary Governance & Corporate Paralegal to support the governance and compliance of our legal entities across the Asia Pacific (APAC) region.

As a member of Autodesk’s Corporate Legal team, you will play an important role in managing subsidiary governance across APAC. Working closely with attorneys, Finance, Tax, Treasury, HR, and external corporate secretarial providers, you will help ensure our legal entities remain compliant while supporting strategic corporate initiatives.

This role is ideal for a proactive, highly organized professional who enjoys managing complex governance requirements, improving processes, and collaborating with stakeholders across multiple countries and time zones.

Responsibilities

Subsidiary Governance & Corporate Secretarial

• Manage corporate records for Autodesk’s APAC subsidiaries, including statutory registers, minute books, governance documentation, and legal entity records
• Coordinate board and shareholder approvals, written resolutions, annual general meetings, and other governance activities required under applicable local laws
• Support director and officer appointments, resignations, powers of attorney, and related corporate filings
• Coordinate annual compliance filings and regulatory submissions across multiple APAC jurisdictions and partner with external corporate secretarial providers to ensure timely and accurate statutory compliance
• Maintain governance calendars and proactively monitor recurring corporate compliance obligations

Corporate Transactions & Entity Management

• Support the legal aspects of subsidiary formations, liquidations, restructurings, mergers, and other corporate reorganizations
• Maintain legal entity information within Autodesk’s entity management systems and legal document repositories
• Coordinate the execution, maintenance, and organization of intercompany agreements and related corporate documentation
• Collaborate with Legal, Finance, Tax, Treasury, HR, Payroll, Equity, and other cross-functional teams to facilitate corporate governance activities

Process Improvement

• Identify opportunities to improve and standardize subsidiary governance processes across APAC
• Develop templates, playbooks, checklists, and tracking tools that improve efficiency and consistency
• Contribute to continuous improvement initiatives that enhance the scalability and effectiveness of Autodesk’s Corporate Legal function

Minimum Qualifications

• Diploma or Bachelor’s degree in Law, Business, Corporate Administration, or a related field
• Three or more years of experience supporting corporate governance, corporate secretarial, or general corporate legal matters
• Ability to work effectively as a team player across regions and with business stakeholders in multiple jurisdictions, with experience supporting multiple legal entities across international jurisdictions
• Excellent organizational and project management skills, with the ability to manage multiple priorities and deadlines
• Excellent written and verbal communication skills in English, along with intellectual curiosity and a proactive approach to learning
• High attention to detail and sound professional judgment when handling confidential information
• Exceptional interpersonal skills, a highly team-oriented approach, and a strong commitment to professionalism
• Foundational understanding of the listing requirements applicable to a U.S.-listed company, including the responsibilities of officeholders across regions

Preferred Qualifications

• Experience supporting a multinational technology company or publicly traded global organization
