About the Role

We are seeking a Corporate Counsel, Public Sector to join our Legal team in McLean, Virginia. This is a high-visibility role that will serve as a key legal partner supporting ID.me's federal, state, and local government business — one of the company's core growth areas.

You will work directly with our Public Sector business team advising Sales, Capture, Product, Security, and Executive stakeholders on the full lifecycle of government transactions. The ideal candidate brings 3–8 years of experience with a strong foundation in government contracting, technology licensing, and public sector compliance — and is ready to operate with meaningful autonomy in a fast-paced, mission-driven environment. This role will also support the broader Legal team on an as-needed basis across commercial, compliance, and general corporate matters.

Key Responsibilities

Government Contracting & Transactions

  • Draft, review, and negotiate a broad range of public sector agreements including SaaS licenses, MSAs, data processing agreements, teaming agreements, OTAs, professional services agreements, and statements of work
  • Review and analyze government solicitations, RFPs, RFIs, RFQs, and proposal materials to assess legal risk and ensure compliance with applicable procurement laws and regulations
  • Independently support federal, state, and local government transactions through the full contracting lifecycle — from proposal and structuring through execution and post-award administration
  • Advise on compliance with FAR, DFARS, agency-specific supplements, flow-down clauses, and government contracting best practices
  • Support contracting activities involving public sector resellers, systems integrators, and channel partners

Legal Counsel & Strategic Advice

  • Provide practical, risk-balanced legal guidance to Sales, Government Affairs, Product, Engineering, Security, Finance, and executive teams on government contracting and compliance matters
  • Advise on matters involving data rights, software licensing, cybersecurity obligations, privacy requirements, government ethics, and organizational conflicts of interest
  • Monitor developments in government procurement law, cybersecurity regulation, AI governance, and public sector technology policy; proactively advise the business on emerging issues

Operations & Scalability

  • Help develop and improve scalable legal templates, contracting playbooks, and operational processes to support ID.me's growing government business
  • Support post-award contract administration, including contract interpretation, modifications, compliance obligations, and dispute resolution
  • Contribute broadly across the Legal team on commercial, compliance, and operational matters as ID.me scales

What We're Looking For

Required

  • J.D. from an accredited law school and active bar membership in good standing in at least one U.S. state
  • Legal experience with a focus on government contracts and/or public sector commercial transactions
  • Experience drafting and negotiating technology, SaaS, or software licensing agreements with government customers
  • Familiarity with U.S. government and/or SLED procurement laws and regulations, including FAR and DFARS
  • Ability to provide practical, business-minded legal advice and independently manage multiple concurrent matters
  • Strong drafting, negotiation, and communication skills; willingness to learn and apply artificial intelligence to workstreams

Preferred

  • 3–8 years of in-house experience at a technology, SaaS, identity, cybersecurity, or government-focused company or experience supporting procurement efforts for the federal government.
  • Familiarity with government procurement vehicles such as GSA schedules, NASPO, GWACs, IDIQs, BPAs, or OTAs
  • Experience with cybersecurity and compliance frameworks including FedRAMP, CMMC, NIST SP 800-171, or related public sector security requirements
  • A go-getter with a growth mindset. You're intellectually curious, have strong business acumen, and actively seek opportunities to build relevant skills and knowledge
  • A humble, detail-oriented problem-solver. You can independently gather information, solve problems efficiently, and deliver results with a "get-it-done" attitude

Why ID.me

  • Direct impact on one of the company's most strategic growth areas — the same platform used by federal agencies and millions of Americans
  • Work alongside an experienced, collaborative legal team with meaningful autonomy and exposure to a wide range of corporate issues
  • A mission that matters: helping government deliver trusted digital services to the people who need them
  • Competitive compensation, equity, and benefits — with a team that invests in your development
