We’re proud to have been helping our clients build better financial futures for over 50 years. How have we achieved this? By working together - and supporting each other - all over the world. So, join our team and feel like you’re part of something bigger.

About your team

You will be part of the India Legal Team, within the Commercial Legal vertical, front-ending drafting, review and negotiation of procurement and commercial contracts supporting Fidelity International's internal business units (Technology, HR, CPS, Marketing, Finance, etc.) and sourcing functions across global offices.

As part of Fidelity’s General Counsel function (Group Legal and Tax ), you will work closely with our legal, tax, regulatory compliance and commercial counterparts based in the Asia Pacific, United Kingdom, Continental Europe, Canada and other jurisdictions on cross border support covering commercial contracts, business legal document, Company Secretariat and other legal documentation.

The team’s focus is on providing agile, pragmatic, business-aligned legal support while minimizing reliance on external counsel and ensuring minimum legal / regulatory exposure to the organisation.

About your role

This is a fast-paced role within the Commercial Legal team, requiring high-quality legal analysis, risk assessment, and cross-border engagement. You will need a strong sense of commercial understanding, attention to detail, adaptability, and the ability to work at pace with confidence.

Key aspects of your role include:

  • Providing front-end legal support for drafting, reviewing, and negotiating a wide range of procurement and commercial agreements, with particular emphasis on emerging technologies such as cloud services and GenAI.

  • Interfacing directly with global stakeholders and advising on legal and compliance issues linked to onboarding third-party tech solutions or developing in-house capabilities, including those involving staff augmentation and temporary workforce arrangements
  • Supporting cloud regulatory compliance work including review of new cloud/technology deployment requests, Cloud Regulatory Forum coordination, entity mapping and Local Compliance notifications.
  • Collaborating with colleagues across functions and geographies to deliver pragmatic, business-aligned legal solutions.

Contributing to continuous process improvement, knowledge sharing, and technology adoption within the team.

We are committed to building a diverse and inclusive workplace. We welcome applications from all qualified candidates, regardless of background, and strive to create an environment where everyone can thrive.

Key Responsibilities

  • Draft, review and negotiate a variety of procurement and commercial contracts, including both technology and non-technology engagements such as Cloud Outsourcing Agreements, SaaS, IaaS, Software Licences, Master Services Agreements, Statements of Work, Consulting and Facilities Agreements, Change Orders, and Data Processing Agreements.
  • Independently manage strategic and complex technology vendor matters, including cloud, enterprise software, AI/GenAI, and data / market data providers, negotiating with major suppliers to secure favourable and risk-appropriate terms.
  • Support business and sourcing teams on onboarding third-party AI and GenAI solutions or developing these in-house, including IP, data, ethics, and regulatory considerations.
  • Understand and interpret international Tech/Cloud Outsourcing regulations (ESMA, EBA, EIOPA, CSSF, DORA, EU AI Act, GDPR, DPDP Act, operational resilience requirements, etc.) and apply them to contracts.
  • Review new cloud and technology deployment requests, coordinate with TRAO and Local Compliance on regulatory notifications and applicability assessments, and support Cloud Regulatory Forum processes.
  • Collaborate with procurement to resolve legal and commercial issues and maintain compliance with company policies.
  • Provide legal advice on matters related to existing procurement contracts and ongoing supplier service engagements, including amendments, renewals and terminations, balancing legal, regulatory, commercial and business considerations to mitigate risk and enable stakeholders to move forward with clarity and confidence.
  • Research and stay current on emerging technology developments (AI, GenAI, blockchain, digital assets and tokenisation, cloud, crypto, open-source software) and proactively assess their impact on commercial contracts and regulatory compliance.
  • Prepare presentations, guidance notes and knowledge materials on emerging tech and related legal / regulatory themes for the team, sourcing and business stakeholders.
  • Support legal operations and drive process improvements, including automating legal request intake, establishing knowledge-sharing platforms, and developing AI/technology contracting playbooks and checklists for suppliers, the legal team and technology stakeholders; support training for sourcing and procurement teams on emerging tech and regulatory topics.
  • Pursue relevant professional development including certifications, seminars and external sessions on data privacy, emerging tech regulation and related areas.
  • Demonstrate adaptability, collaboration, and a proactive approach in all interactions.

About you

In this role you will be required to have:

  • LLB with 5–6 years of relevant experience, preferably in an in-house role within a multinational organisation (Financial Services, Asset Management, or Information Technology industries preferred).
  • Experience in reviewing and negotiating commercial contracts across both technology and non-technology engagements, including cloud services (SaaS, IaaS, PaaS), outsourcing, software licensing, market data, consulting, facilities, and profeesional services (staff augmentation, consulting etc.).
  • Knowledge of cloud outsourcing regulatory frameworks (e.g., ESMA, EBA, DORA) and their application to technology contracts.
  • Ability to assess commercial and legal risk relating to technology and outsourcing regulatory compliance.
  • Familiarity with current technology trends such as AI, GenAI, platform integration, data processing, and their legal and regulatory implications.
  • General understanding of how technologies work, including APIs, data security / backups, Cloud Escrow, and SaaS/IaaS/PaaS deployments and cloud security.
  • Strong oral and written communication skills; excellent judgment; business sense.
  • Excellent drafting and negotiation skills.
  • Commercial judgement, business acumen, pragmatic and a solutions-oriented mindset.
  • High ethical standards and professional integrity.
  • Strong attention to detail and ability to manage multiple matters in parallel.
  • Experience working on cross-border contracts and international engagements.

  • Genuine interest in technology and emerging tech – someone who keeps up with developments in AI, GenAI, cloud, blockchain and data privacy because they want to, not because they have to.
  • Experience with contract management systems, e-signature platforms, and other legal technology tools is desirable.
  • Self-starter, research-oriented and self-driven – able to take ownership of new and evolving matters with limited supervision, independently learn about new technologies, understand their contractual and regulatory implications, and translate that into practical guidance for stakeholders as the organisation’s technology priorities change.
  • Comfortable presenting complex tech/regulatory topics to non-legal audiences using presentations, diagrams and practical examples.
  • Demonstrated adaptability, collaboration, and a proactive approach.
  • Positive, pro-active attitude suited to be a team member within a dynamic business environment.
  • Strong interpersonal skills with the ability to build strong relationships with stakeholders.
