Responsibilities:

  • Provide company secretarial and governance support to Merrill Lynch International (MLI) and, as required, other UK and EMEA entities.

  • Attend Board and committee meetings and assist with drafting minutes, resolutions, correspondence and other governance documents for review and approval by senior team members. Coordinate presenter timings for Board and committee meetings.
  • Assist with director appointments, onboarding, induction and annual governance processes, including conflicts of interest, training, evaluations and the collection and maintenance of required records and approvals.
  • Support the maintenance of statutory registers, minute books, governance databases, templates and electronic and physical records.
  • Assist with Companies House filings, regulatory notifications and other corporate filings.
  • Use Diligent Boards, Microsoft 365 and approved artificial intelligence tools to prepare meeting materials, maintain records and support governance workflows securely and efficiently.
  • Contribute to improvements in team processes, procedures and controls, and support wider EMEA Corporate Secretary priorities and projects. Occasional travel to other EMEA offices, including Dublin and Paris, may be required.

What we are looking for:

  • A relevant degree and an interest in developing a company secretarial career. A recognised governance qualification, progress towards one, or equivalent practical experience would also be beneficial.
  • Strong written and verbal communication skills, with the ability to produce clear and accurate minutes, correspondence and governance documents with guidance
  • A highly organised and methodical approach, with excellent attention to detail and accurate record-keeping
  • Ability to manage competing priorities, follow processes, meet deadlines and raise issues promptly
  • A friendly, approachable and collaborative manner, with a willingness to support colleagues and build effective relationships across the organisation
  • Professionalism, discretion and integrity, with the sound judgement required when handling confidential or sensitive information
  • Proficiency in Diligent Boards and Microsoft 365; experience using Copilot or other approved AI tools
