We are seeking a Structured & Project Finance / Private Funds Counsel to support financial-services clients with private and registered investment fund formation, structuring, governance, and regulatory compliance. This role is ideal for an attorney with strong experience advising investment managers and fund sponsors throughout the fund lifecycle.
The ideal candidate will bring practical experience with fund formation and offering documentation, LP and GP structures, investment management agreements, SEC registration, and fund compliance reviews. Experience with the Alternative Investment Fund Managers Directive (AIFMD) and Undertakings for Collective Investment in Transferable Securities (UCITS) frameworks is highly valued.
Responsibilities:
- Advising clients on the formation, structuring, operation, and regulation of private and registered investment funds.
- Drafting, reviewing, and negotiating private placement memoranda, limited partnership agreements, subscription documents, offering materials, side letters, and investment management agreements.
- Counseling fund sponsors and investment managers on LP and GP structures, fund governance, investor rights, and operational considerations.
- Advising on SEC registration, reporting, and compliance obligations, including matters related to investment advisers and private funds.
- Supporting fund compliance reviews, audits, regulatory examinations, and remediation initiatives.
- Advising on AIFMD, UCITS, and other applicable international fund-regulatory requirements.
- Partnering with investment, legal, compliance, operations, and external counsel stakeholders to provide practical, business-oriented advice.
Qualifications:
- 5+ years of experience in private funds, registered funds, investment management, asset management, or related financial-services practices.
- Demonstrated experience supporting investment fund formation, offering documentation, and fund governance matters.
- Strong knowledge of SEC registration and regulatory compliance applicable to investment funds and investment managers.
- Experience advising on LP and GP structures, investment management agreements, and fund-related corporate governance.
- Excellent drafting, negotiation, communication, technology, and problem-solving skills.
- Juris Doctor (JD) degree and active bar admission in an applicable U.S. jurisdiction.
Compensation:
The estimated total compensation for full-time Axiom attorney roles is $104,500-325,000 per year and for non-attorney roles is $71,250-309,750 per year. Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs.
