About the Role

We are seeking a junior to mid-level legal counsel to join our in-house legal team supporting the public company compliance work of NetEase, Inc. which is dual-listed on Nasdaq and The Stock Exchange of Hong Kong Limited (HKEX), with additional subsidiaries separately listed in Hong Kong or the U.S.

You will take hands-on responsibility for the day-to-day securities filings, periodic reporting, and ongoing listing compliance and corporate governance obligations of the parent company and its listed subsidiaries.

This is an excellent opportunity for a securities/capital markets lawyer to develop expertise across two major regulatory regimes within a multi-listed corporate structure, while also gaining valuable insight into a fascinating and fast-evolving industry. You will collaborate closely with our finance, treasury, transactions and IR departments and other legal team members.

Key Responsibilities

Ongoing Disclosure & Regulatory Filings

• Prepare and submit routine HKEX filings and announcements, including next day disclosure returns and monthly returns.
• Handle disclosure of interests filings under Part XV of the SFO for the group and its listed subsidiaries.
• Prepare U.S. beneficial ownership reports (Schedules 13D/13G) and Section 16 filings (Forms 3, 4, and 5).
• Maintain the group filing calendar and monitor deadlines across all listed entities.

Periodic & Annual Reporting

• Assist with periodic reports across both regimes: HK annual/interim reports and results announcements; and the U.S. annual reports and earnings announcements.
• Run the D&O questionnaire process and collate responses from directors and management.

Corporate Governance, Board & Shareholder Matters

• Support board and committee processes, including agendas, meeting materials, resolutions, and minutes.
• Help prepare AGM (and other general meeting) circulars, notices, proxy forms, and proxy statements.
• Assist with compliance under the HKEX Corporate Governance Code and applicable U.S. standards.
• Maintain corporate governance policies and files, including those relating to inside information, securities dealing / insider trading, and related-party transactions.

Advisory, Training & Coordination

• Prepare and maintain training materials for directors, officers, and employees on securities law compliance, disclosure obligations and a wide range of related topics.
• Support the assessment of notifiable and connected and monitor inside information disclosure obligations.
• Coordinate disclosure across listed entities and liaise with external counsel, auditors, and internal stakeholders.
• Conduct legal research and support ad hoc corporate transactions and special projects as needed.

Qualifications

• Qualified lawyer admitted in Hong Kong or a U.S. jurisdiction.
• Approximately 2–5 years PQE, gained at a reputable law firm and/or in-house legal position.
• Solid working knowledge of the HKEX Listing Rules is essential. 
• Genuine interest in building deep expertise across both the HK and U.S. regulatory regimes within a multi-listed structure.
• Strong interpersonal and communication skills, with a flexible and approachable manner.
• Proficiency in Mandarin Chinese is a significant plus as this role involves regular collaboration with Mandarin speaking stakeholders.
