About the team & role    

PwC’s M&A Closing Mechanisms team comprises around 30 people in the UK, based in London, Belfast, Birmingham, Leeds, Manchester and Reading, working within the wider Transaction Services business unit. The team primarily works on the implementation of the completion mechanisms set out in sale and purchase agreements, working closely with our financial due diligence (“FDD”) and Sale and Purchase Agreement (“SPA”) colleagues to maximize deal value for our clients. 

About the role 

We have an opportunity for a Senior Associate to join our M&A Closing Mechanisms team. We are a highly skilled client facing team who support clients in a variety of transaction-related situations. The value we bring is often directly visible to clients, in terms of savings they will make or value they will gain, making our work highly rewarding and interesting. We work cross sectors with corporate and private equity clients. The M&A Closing Mechanisms team is based across a number of offices in the UK and we welcome applications from Senior Associates in London, Birmingham, Belfast or Manchester.  

Responsibilities   

Under supervision you will have the opportunity to work on a variety of engagements.  

You will have responsibility for helping to deliver client projects through: 

• Liaising with external and internal contacts to source the information we require and critically reviewing that information 

• Identifying balance sheet areas which may warrant further investigation / give rise to adjustments which may increase deal value for our clients. 

• Project management, including engagement set up for new projects and management of engagement costs throughout the project. Proactively suggesting better / more efficient ways to deliver our work. Proactively suggesting better / more efficient ways to deliver our work 

• Preparing initial drafts of client deliverables and verification of client deliverables 

The role requires a certain degree of flexibility and some travel including to client sites may be required. 

Essential skills and experience 

Key skills and experience required to be successful in this role include: 

• ACA (exam & time qualified) or international equivalent
• Strong accounting skills;  Ability to analyse and critically review data; 

• Good attention to detail with a high degree of accuracy in both analysis and when preparing written reports and outputs; 
• Ability to present and explain findings in a clear and concise manner; 

• Report writing skills; and 

• Good project management skills. 

Who we’re looking for: 

• You will be a confident and articulate communicator, and able to deal with people at all levels internally, as well as clients. You will have a commercial and analytical aptitude as well as a forensic eye for detail. Additionally, you will be comfortable working independently, as well as in teams of varying sizes, prioritising your own workload, juggling multiple tasks and adhering to tight deadlines.  

• To be considered for this role you need to be ACA qualified and demonstrate a strong desire to learn and willingness to share knowledge and coach others.
