You will be responsible for the following: 

a. Supervise and manage compliance with applicable regulatory requirements by ensuring the accurate and timely submission of reportorial obligations to the SEC and PSE (as applicable), implementation of new regulatory issuances, preparation of comments on draft memoranda and circulars, and fulfillment of document requests from regulators, auditors, internal stakeholders, and other authorized parties, while maintaining the confidentiality, accuracy, and completeness of corporate records and information.

b. Supervise and manage the end-to-end process of Board of Directors (the “Board”) and Committee meetings, including: a. preparation notices and agendas; b. compilation of pre-read materials; and c. drafting of resolutions and minutes, in line with regulatory and governance standards.

c. Supervise and manage the drafting, review, and maintenance of governance policies, Board and Committee Charters, and governance frameworks. Oversee the adherence to governance standards, directors’ regulatory compliance, submission of governance reports, and closure of any regulatory findings.

d. Supervise and manage the delivery of efficient, accurate, and timely support services to internal stakeholders, regulators, auditors, and other external parties, including the handling and fulfillment of requests and the issuance of documents and information, while ensuring confidentiality, accuracy, and completeness.

e. Supervise and manage the completion of requirements and requests for Group-wide initiatives and activities such as license applications, regulatory remediation programs, governance transformation projects, Board Portal implementation, and process automation tools.

f. Prepare opinions and governance advice on queries from Management, Boards, and business units.

g. Lead, participate in, and support special projects, strategic initiatives, and cross functional assignments,

h. Supervise, manage, direct, and develop Corporate Affairs and Governance Managers and Leads in the delivery of Corporate Affairs and Governance Services to the Mynt Group, including setting goals, priorities, and performance objectives, and service levels, processes, and procedures, as well as allocating responsibilities, reviewing deliverables, ensuring effective quality control, coaching and training members, and building capability and accountability.

i. Perform other duties as may be assigned by the AVP - Head of Corporate Affairs and Governance and the Office of the Corporate Secretary/Assistant Corporate Secretary.

• Years of Work Experience: 9 years

• Work Background / Experience

• Lawyer in good standing

• With at least 5 years of experience in corporate servicesLevel of Knowledge

• Excellent in spoken and written English

• Proficient with Microsoft Word and PowerPoint

• Skills and Functional Competencies

• Strong organizational and time-management skills;
