POSITION OVERVIEW

Business Development is seeking to add a highly motivated and experienced Associate Director, M&A and Strategic Development to support the continued growth of the Hanwha Renewables (“HWR”)  and Hanwha Energy USA (HEUH) platforms.

This individual will play a leadership role in the evaluation, structuring, negotiation, and execution of mergers & acquisitions, project divestitures, strategic investments, joint ventures, and broader corporate development initiatives. The Associate Director will work closely with Business Development leadership, Finance, Legal, Development, EPC, Asset Management, and executive leadership to drive transaction execution and advance HWR’s strategic growth objectives.

The role is intended to expand the capabilities and execution capacity of the Business Development organization as transaction volume, complexity, and strategic initiatives continue to grow. In addition to leading individual transactions, the Associate Director will be expected to manage cross-functional deal teams, provide strategic and commercial leadership, and contribute to the continued development of HWR's M&A and portfolio monetization strategy.

This position will report to the Chief Business Development Officer (CBDO) or one of the CBDO’s senior team leaders. The employee may be required to perform other job-related duties as requested by management.  All duties will be assigned in accordance with applicable laws and company policies. Working hours are Monday through Friday, from 8:00am to 5:00pm or 9:00am to 6:00pm local time. This position is expected to travel up to 50% of the time.

 

KEY RESPONSIBILITIES


M&A and Transaction Execution

  • Lead the evaluation, structuring, negotiation, and execution of renewable energy M&A transactions, acquisitions, joint ventures, and strategic investments.
  • Manage transaction processes from initial evaluation through due diligence, negotiation, internal approvals, documentation, and closing.
  • Lead and coordinate cross-functional due diligence processes across commercial, technical, legal, tax, accounting, financing, development, and construction workstreams.
  • Review financial models, valuation analyses, transaction structures, investment committee materials, and transaction recommendations.
  • Lead or actively participate in negotiations with sellers, buyers, investors, partners, and other transaction counterparties.
  • Identify key commercial and transaction risks and develop appropriate mitigation strategies.
  • Manage external financial, legal, technical, and other advisors as required.
  • Present transaction recommendations, key risks, and strategic considerations to senior management and investment committees.

 

Divestiture & Portfolio Monetization

  • Lead renewable project divestiture processes across solar, storage, and hybrid assets.
  • Manage sell-side transaction workflows from market preparation and buyer outreach through diligence, negotiation, documentation, and closing.
  • Coordinate closely with project Development and other internal stakeholders to ensure assets are appropriately positioned for monetization.
  • Oversee the preparation of marketing materials, management presentations, financial analyses, transaction documentation, and buyer diligence materials.
  • Manage interactions and negotiations with prospective buyers, investors, strategic partners, and external advisors.
  • Serve as a project leader for selected divestiture transactions, coordinating internal stakeholders and maintaining accountability for transaction timelines and deliverables.
  • Support the continued evolution of the Business Development organization toward greater ownership of project monetization and transaction execution.

 

Strategic Corporate Development

  • Lead and support strategic partnership evaluations and broader corporate development initiatives.
  • Evaluate new growth opportunities, investment themes, business models, and market entry strategies across renewable energy and adjacent energy infrastructure sectors.
  • Develop commercial and financial analyses supporting strategic decisions and capital allocation.
  • Monitor industry trends, competitive dynamics, transaction activity, capital markets, and evolving business models across the energy and infrastructure sectors.
  • Support the development and execution of strategic partnerships, framework agreements, joint ventures, and other structured investment opportunities.
  • Partner with Business Development and executive leadership on portfolio strategy, capital recycling, and optimization initiatives.

 

Leadership & Cross-Functional Coordination

  • Lead cross-functional transaction teams involving Development, Finance, Legal, EPC, Asset Management, Tax, Accounting, and other internal functions.
  • Establish transaction workplans, priorities, timelines, and accountability across internal and external stakeholders.
  • Provide guidance and mentorship to junior members of the Business Development organization and contribute to the continued development of the team.
  • Prepare and present executive-level materials, transaction recommendations, and strategic analyses for senior management and investment committees.
  • Serve as a senior representative of HWR in interactions with investors, strategic partners, financial institutions, advisors, and other external counterparties.
  • Support Business Development leadership in establishing transaction processes, best practices, and organizational capabilities as the platform continues to scale.

 

REQUIRED QUALIFICATIONS

  • Bachelor’s degree in Finance, Economics, Business, Engineering, or a related field; MBA or other relevant advanced degree preferred.
  • 7–12+ years of relevant professional experience, with meaningful transaction execution experience in one or more of the following:
    • Renewable energy development or infrastructure investing
    • Investment banking
    • Project finance
    • Corporate development
    • M&A advisory
    • Renewable energy or infrastructure private equity
    • Strategic energy or infrastructure platforms
  • Demonstrated experience leading or playing a senior execution role in M&A, project acquisitions, divestitures, joint ventures, or other complex transactions.
  • Renewable energy transaction experience, particularly across solar, energy storage, and hybrid projects, strongly preferred.
  • Strong financial modeling, valuation, transaction structuring, and investment analysis capabilities.
  • Demonstrated ability to manage complex due diligence and transaction processes involving multiple internal and external stakeholders.
  • Strong commercial judgment and ability to identify and communicate key transaction risks and opportunities.
  • Strong negotiation, presentation, and executive communication skills.
  • Ability to independently manage multiple transactions and strategic initiatives in a fast-paced environment.
  • Demonstrated leadership capabilities and ability to manage and mentor junior team members.
  • Advanced Excel and PowerPoint capabilities required.

 

COMPENSATION: $175,000 - $200,000 salary
