Position Overview

April Housing is seeking a VP, Senior Counsel to join its legal team as a subject matter expert in affordable housing, Low-Income Housing Tax Credits (LIHTC), and preservation transactions.

This role serves as one of the Company's primary legal advisors on affordable housing preservation, resyndication, regulatory compliance, partnership governance, and portfolio strategy.

This is a senior, business-facing legal role supporting teams across preservation, asset management, capital markets, transactions, compliance, and senior leadership. The position combines transactional execution, regulatory interpretation, partnership counseling, and legal strategy in support of one of the nation's largest affordable housing portfolios.

The successful candidate will help structure and execute complex affordable housing transactions while advising the company on operational, compliance, and ownership matters throughout the lifecycle of a property.

Key Responsibilities

Affordable Housing Transactions & Resyndication

  • Lead legal support for LIHTC resyndications, recapitalizations, preservation transactions, refinancings, and related affordable housing initiatives.

  • Advise on transaction structuring, tax credit applications, bond-financed transactions, partnership formations, and related financing arrangements.

  • Support acquisitions, dispositions, GP buyouts, LP interest transfers, workouts, and other complex real estate transactions.

  • Review, draft, and negotiate purchase agreements, financing documents, partnership agreements, development agreements, regulatory documents, and related transaction materials.

  • Coordinate with and manage outside counsel throughout transaction execution.

Regulatory & Affordable Housing Compliance

  • Advise on Section 42 requirements, Qualified Allocation Plans, regulatory agreements, affordability restrictions, and related affordable housing programs.

  • Partner closely with Compliance and Asset Management teams regarding portfolio-wide regulatory and operational issues.

  • Monitor legal and regulatory developments affecting the affordable housing industry and advise business stakeholders on emerging risks and opportunities.

  • Support company initiatives involving Fair Housing, property tax exemptions, agency approvals, and government financing programs.

Partnership & Asset Management Support

  • Advise stakeholders regarding partnership governance, investor relations matters, capital events, and ownership disputes.

  • Provide legal guidance concerning asset management issues, workouts, consent requests, and preservation strategies.

  • Analyze partnership agreements and related documents to assess rights, obligations, and business alternatives.

  • Assist business teams in developing practical solutions to complex ownership and operational issues.

Strategic Business Counseling

  • Serve as a trusted advisor to senior management regarding legal, regulatory, reputational, and operational risks.

  • Collaborate closely with Preservation, Asset Management, Capital Markets, Investments, Compliance, Risk Management, and Finance teams.

  • Help develop and implement policies, procedures, and best practices that support scalable portfolio growth.

  • Participate in industry organizations and maintain current knowledge of affordable housing legal developments.

Key Qualifications

  • Juris Doctor degree from an accredited law school.

  • Active license and good standing in at least one U.S. jurisdiction.

  • 7 to 10 years of experience in affordable housing, real estate, partnership, tax, or related transactional practice.

  • Significant experience with LIHTC transactions and affordable housing finance.

  • Strong working knowledge of partnership structures, ownership transfers, regulatory agreements, and financing transactions.

  • Experience negotiating and documenting complex real estate transactions.

  • Ability to provide practical, business-oriented legal advice in a fast-paced environment.

Preferred Qualifications

  • Experience representing institutional investors, syndicators, developers, or owners of affordable housing.

  • Familiarity with bond-financed transactions, HUD programs, and preservation transactions.

  • Experience advising on property operations, compliance matters, and partnership disputes.

  • Knowledge of multi-state affordable housing regulatory frameworks.

Success Profile

The successful candidate combines strong technical legal skills with sound business judgment. They are comfortable operating across transactions, operations, compliance, and strategic planning, while helping the company preserve and expand affordable housing opportunities nationwide.

Base Compensation Range:

$315,000.00 To $330,000.00 Annually. This represents the presently-anticipated low and high end of the Company’s base compensation range for this position. Actual base compensation range may vary based on various factors, including but not limited to location and experience.

Total Direct Compensation:  This job is also eligible for discretionary bonus and incentive compensation on an annual basis.
