The role
Tavily by Nebius is looking for a Commercial Legal Counsel with experience in technology transactions and privacy to join our Legal team.
You’ll take ownership of commercial agreements that support Tavily’s global business, partner closely with our Go-to-Market teams, and help ensure compliance with applicable privacy and data protection requirements. You’ll also help shape the legal templates, processes, and guidance that support our continued growth.
This is an opportunity to combine hands-on deal ownership with broader work across technology, AI, privacy, and international transactions.
What you’ll do
- Lead customer negotiations: Draft, review, and negotiate customer-facing agreements, including SaaS agreements, reseller agreements, and service level agreements.
- Partner with Go-to-Market teams: Serve as their primary legal partner, providing practical, business-oriented advice throughout customer negotiations.
- Support privacy and data protection: Help maintain and improve Tavily’s privacy program and support compliance with GDPR, the CCPA as amended by the CPRA, and other applicable global privacy and data protection laws.
- Own DPA negotiations: Review and negotiate data processing agreements and provide ongoing legal guidance on privacy matters.
- Support procurement and partnerships: Draft, review, and negotiate vendor and partnership agreements.
- Drive complex global transactions: Manage cross-border and strategically important transactions involving multiple internal and external stakeholders.
- Translate local requirements into practical advice: Guide global teams on relevant local and regional legal and regulatory considerations.
- Build scalable legal processes: Develop and improve regional contract templates, negotiation playbooks, workflows, and guidance materials.
What you’ll bring
- Admission to practice law in the United States, an EU member state, or Israel.
- An LL.B., J.D., or equivalent law degree from an accredited university.
- 4–9 years of experience practicing technology commercial and privacy law after completing any applicable internship or trainee program, including experience at both a leading law firm and as in-house counsel at a technology company.
- Strong experience drafting and negotiating complex commercial and technology agreements, including DPAs and customer-facing contracts with Fortune 500 companies.
- Experience working at SaaS companies in the AI sector.
- Experience advising on global privacy requirements, including GDPR, the CCPA as amended by the CPRA, and other U.S. state privacy laws.
- Experience with U.S. copyright and intellectual property law.
- Strong attention to detail, sound judgment, and the ability to deliver accurate work and manage negotiations under tight deadlines.

- Familiarity with global AI regulations.
- Familiarity with data purchasing agreements.
