KEY ACCOUNTABILITIES

Legal ADVISORY & RISK MANAGEMENT

• Provide practical, commercially sound legal advice to management and relevant stakeholders.
• Identify, assess and manage legal, regulatory and governance risks including escalation of material matters where appropriate

COMMERCIAL CONTRACTS, TRANSACTIONS & STRATEGIC PROJECTS

• Lead negotiation, drafting and review of complex commercial agreements, transactions and strategic initiatives.
• Support legal workstream for restructurings, transformation initiatives and other group strategic projects.

REGULATORY & GOVERNANCE SUPPORT

• Support interpretation and implementation of applicable legal and regulatory requirements, including relevant BNM and governance expectations.
• Provide legal support on governance frameworks, internal policies and control-related matters.

DISPUTES & EXTERNAL COUNSEL MANAGEMENT

• Manage disputes, investigations, contentious matters, and engagement with external counsel.
• Oversee quality, scope and cost management of external legal support

CORPORATE GOVERNANCE / CORPORATE SECRETARIAL SUPPORT

• Provide support on governance and corporate secretarial matters where required, including board matters, corporate actions, restructurings and other corporate exercises.

STAKEHOLDER MANAGEMENT & LEADERSHIP

• Act as a trusted legal business partner to management and internal stakeholders.

QUALIFICATIONS / EXPERIENCE

• Bachelor of Laws (LLB) or equivalent qualification.
• ICSA / MAICSA qualification or exposure to corporate secretarial / governance matters would be an added advantage.
• Minimum 8 – 10+ years’ relevant post-qualification experience, preferable within financial services, insurance, takaful or other regulated industries.
• Excellence knowledge of legal matters on insurance and takaful areas, Companies Act, 2016, IFSA, FSA, PDPA, AMLA, Competition Act, Cyber Security Laws, IT & Digital Laws,  and relevant BNM’s Guidelines
