The Role:
We are looking for a Senior Commercial Counsel to provide strategic and operational legal support to a fast-scaling, international healthtech business. This role focuses on general commercial matters, including commercial contracts across the business, new markets, new product development (NPD), intellectual property (IPR), and litigation.
Reporting directly to the General Counsel, you will manage one direct report (Commercial Counsel) and work with cross-functional teams to ensure regulatory and legal compliance.
This part-time role offers flexibility in working hours and structure, perfectly suited for a candidate operating at or above the Head of Legal / Senior Counsel level seeking a flexible arrangement without stepping down in scope.
What You'll Do:
- Provide commercially focused legal advice on a broad range of matters including commercial contracts (D2C and B2B), intellectual property, new product development, general procurement and supply-chain contracts.
- Lead legal support for new product development, bringing consumer health and beauty products to market (in-house or white-labelled), advising on regulatory, labelling, IP, and supply considerations.
- Advise on consumer protection compliance across all regions, specifically the Digital Markets, Competition and Consumers Act 2024 (DMCCA) in the UK.
- Draft, review, and negotiate a wide variety of commercial contracts, including technology (SaaS), procurement, supply chain, and manufacturing agreements.
- Lead on reviewing and negotiating all B2B contracts and supervise D2C Ts & Cs across all brands and markets.
- Support the General Counsel in running the day-to-day operation of the Legal Function and lead the implementation of strategic frameworks.
- Line manage a commercial lawyer and provide support to our paralegal and junior team members.
- Manage low-risk/low-value litigation matters (including pre-action contract disputes) and coordinate external legal counsel to ensure cost-effective resolution.
- Partner with commercial stakeholders, translating complex legal frameworks into clear, actionable guidance for non-legal teams.
What We're Looking For:
- Legally qualified with the right to practice in England and Wales (or equivalent), with a minimum of 8+ years' PQE, including at least 6 years of in-house experience.
- Experienced within the healthtech, ecommerce, or other regulated sectors.
- A proven manager operating at or above Head of Legal or Senior Counsel level.
- Experienced in advising on new product development and bringing consumer products to market (ideally in the health/beauty sectors).
- Familiar with the DMCCA 2024 and the evolving UK consumer-protection landscape.
- Comfortable operating in an "AI first" legal function, with prior experience using Legal AI in end-to-end contract lifecycle and research.
- Equipped with a strong grounding and demonstrable experience in English contract law across D2C and B2B.
- Comfortable operating as a broad generalist across the full commercial legal remit (contracts, IP, NPD, consumer, supply chain, low - level disputes).
- An exceptional communicator with standout written and verbal skills, able to influence and adapt across different audiences.
- Highly adaptable to changing priorities and ambiguity, with excellent project and time management skills.
