The Compliance Officer is responsible for: leading and strengthening the Company's Compliance Risk Management Framework; providing independent oversight, strategic advisory, and governance support to business units, senior management, and Board Committees; and ensuring compliance with all applicable laws, regulations, and regulatory expectations governing Health Maintenance Organizations (HMOs) in the Philippines, including requirements issued by the Insurance Commission, Department of Health, Anti-Money Laundering Council, National Privacy Commission, and other relevant regulatory authorities. The position serves as a trusted partner to management in fostering a proactive culture of compliance, ethical conduct, and accountability while supporting the achievement of the Company's strategic objectives. The incumbent is a senior member of the Risk and Compliance function supporting the Head of Risk and Compliance in driving compliance strategy, engaging with regulators, overseeing compliance monitoring and assurance activities, reporting material compliance matters to Senior Leadership, the Board Risk Committee, and the Board Audit Committee, and ensuring that compliance risks are identified, assessed, monitored, and effectively managed across the organization. Through strong stakeholder engagement and effective challenge, the role promotes sound governance practices and helps ensure the Company maintains a robust, sustainable, and regulator-ready compliance environment.Key Accountabilities1. Compliance Risk Management Leadership
• Lead the implementation and continuous enhancement of the Company's Compliance Risk Management Framework.
• Establish and maintain a robust compliance governance structure aligned with regulatory expectations and industry’s best practices.
• Serve as the second-line compliance oversight function across all business units and support functions.
• Provide effective challenge and independent review of compliance risks, control effectiveness, and remediation activities.
• Identify emerging compliance risks and advise management on appropriate mitigation strategies.
• Support the Head of Risk and Compliance in developing the organization's compliance strategy, annual compliance plan, and key compliance initiatives.
2. Regulatory Compliance Oversight
• Maintain oversight of compliance with all applicable regulatory requirements governing HMOs and healthcare organizations.
• Monitor and assess new and evolving laws, regulations, circulars, advisories, and supervisory expectations.
• Lead regulatory impact assessments and coordinate implementation plans across business units.
• Act as a key point of contact during regulatory examinations, inspections, audits, inquiries, and thematic reviews.
• Establish processes to ensure timely and accurate submission of regulatory reports and disclosures.
• Advise senior management on regulatory developments, enforcement trends, and potential compliance implications.

3. Financial Crime Compliance Oversight
Anti-Money Laundering
• Provide oversight of the Company's Anti-Money Laundering Compliance Program.
• Review AML risk assessments, monitoring activities, and control effectiveness.
• Monitor compliance with AML regulatory requirements and internal standards.
• Provide guidance on higher-risk transactions, customer due diligence matters, and financial crime risks.
• Escalate material AML concerns to Senior Management and Governance Committees.
Anti-Bribery and Corruption
• Oversee the implementation and effectiveness of the Anti-Bribery and Corruption Framework.
• Lead corruption risk assessments and monitoring programs.
• Advise management on gifts and entertainment, sponsorships, donations, third-party relationships, and interactions with government officials.
• Monitor and investigate potential misconduct, unethical conduct, or corruption-related concerns.
4. Conduct, Ethics and Culture
• Drive the Company's ethics and compliance culture agenda.
• Promote integrity, accountability, and ethical decision-making across all levels of the organization.
• Oversee implementation of policies relating to:
o Code of Conduct
o Conflicts of Interest
o Whistleblowing and Anti-Retaliation
o Anti-Fraud
o Employee Conduct and Ethics
• Review significant conflict-of-interest declarations and provide recommendations to management.
• Support investigations involving compliance breaches, misconduct, fraud, and regulatory violations.
5. Data Privacy and Regulatory Governance
• Provide oversight and challenge to the effectiveness of the Company's data privacy and information governance framework.
• Partner with the Data Protection Officer and information security stakeholders to address privacy and data protection risks.
• Monitor compliance with privacy regulations and internal privacy obligations.
• Review privacy-related incidents and advise management on compliance implications and remediation actions.
6. Compliance Monitoring and Testing
• Develop and execute a risk-based Compliance Monitoring Plan.
• Oversee thematic reviews, compliance assessments, and testing activities across business units.
• Evaluate the adequacy and effectiveness of compliance controls.
• Monitor and track regulatory findings, audit issues, compliance breaches, and remediation actions.
• Report significant compliance issues and emerging trends to senior management.
7. Board and Executive Governance Support
• Serve as principal compliance advisor to management on compliance risk matters.
• Prepare and present compliance reports, dashboards, and updates to:

• Escalate significant regulatory developments, compliance incidents, and emerging risks.
• Support Board and Committee discussions relating to compliance, conduct, AML, privacy, governance, and regulatory matters.
• Assist the Head of Risk and Compliance in maintaining effective engagement with Directors and Senior Executives.
8. Policy Governance and Regulatory Affairs
• Lead development and maintenance of compliance-related policies, standards, and procedures.
• Ensure policies remain aligned with changing regulatory requirements and business objectives.
• Support regulatory engagement and relationship management activities.
• Coordinate regulatory inquiries, submissions, attestations, and disclosures, as appropriate.
9. People Leadership and Capability Building
• Provide leadership and direction to compliance team members.
• Mentor and develop compliance professionals.
• Build organizational awareness and understanding of compliance obligations.
• Lead enterprise-wide compliance training and awareness programs.
• Foster a culture of shared accountability for compliance risk management.
