About the Role

iCapital is looking to hire a Head of Legal for Structured Investments and Annuities, to join as a senior member of the Legal team.  The ideal candidate is an attorney with significant experience with financial products, including structured investments and annuities, as well as in-depth knowledge of the laws, rules, and regulations applicable to such products.  This role will work closely with the firm’s senior management, senior members of the structured investments and annuities business lines, and other attorneys within the Legal and Compliance teams.  

Responsibilities

• Act as general counsel for the firm’s structured investments and annuities businesses, serving as primary counsel on all legal and regulatory aspects, including firm-wide strategic initiatives and day-to-day matters, related to the firm’s web-based platform covering structured investments and annuities, structured investments distribution, broker-dealer matters, strategic relationships and product and global expansion.
• Serve as a senior advisor to the firm’s senior management, including the Head of Structured Products and Annuities, the Chief Financial Officer and the General Counsel, Business teams, compliance and enterprise risk on commercial, regulatory and legal issues.
• Manage a team of attorneys responsible for providing legal and regulatory support of the firm’s structured investments platform, structured investments distribution, annuities, and life insurance businesses in an efficient and cost-effective manner, as well as managing outside counsel, as necessary.
• Negotiate and supervise negotiation of complex high-value commercial agreements with counterparties and clients, including structured investment and annuity product issuers, as well as financial institution users of iCapital’s structured investments and annuities products and services.
• Drive modernization of internal legal processes, with a focus on maximizing efficiency, supporting firmwide transformation and delivering on firmwide objectives.

Qualifications

• 10+ years of experience within a top-tier law firm and/or in-house at a broker-dealer or financial technology firm, including experience managing other attorneys
• Strong knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA rules
• Working knowledge of applicable insurance rules and regulations is a plus
• Experience negotiating high-value commercial agreements with sophisticated clients and counterparties
• Strong leadership and interpersonal skills
• Willingness to learn new topics and work in an evolving business environment
• Member in good standing of the New York Bar or another state or jurisdiction

Benefits

As Commercial Counsel, you will be a key member of Flex’s growing Legal & Compliance team. Your primary mission is to own Flex’s commercial contracting function from proposal to signature, and to scale that function through playbooks, policies, and technology — including AI-assisted workflows. • Optimize, oversee and maintain all aspects of the company’s customer and vendor contracting cycles, including the negotiation and drafting of services and other commercial agreements.
• Build out and maintain contracting playbooks, policies and frameworks for the escalation of complex requests, repository management.
• Design and implement AI-assisted legal workflows for the team — including prompt templates, contract review checklists, and automated intake pipelines — and train team members on effective and compliant AI use. Key qualifications

• 3 - 5+ years of combined experience at a top-tier law firm and in-house legal department, with a focus on commercial and corporate matters and some experience across general legal matters.
• Experience with consumer lending, fintech, or proptech is a plus.
• Demonstrated ability to use AI tools for legal tasks (contract review, research, drafting) and to design AI-assisted workflows; able to craft effective prompts, critically evaluate AI output, and apply good judgment before relying on AI-generated work.
• Preference for candidates able to work out of our NYC, SF, or Salt Lake City offices on a hybrid basis.
• Strong interpersonal skills to build productive cross-functional relationships, with a strong tolerance for sarcasm and dry humor.
