We are seeking a Senior Legal Counsel to lead and support legal matters across corporate, commercial, and project development activities globally, primarily in the European, Middle East and Australian markets. This role will be critical in structuring, negotiating, and executing complex energy and infrastructure projects. The position will be Based in Europe, preferably in Madrid or London, where Rondo has offices.
What You Will Do (key responsibilities for this role include but are not limited to):
- Advise on corporate and commercial legal matters, including company structuring, governance, and day-to-day legal support.
- Draft, review, and negotiate term sheets, commercial agreements, and client contracts, ensuring alignment with project finance requirements and bankability standards, including risk allocation, guarantees and security package. Familiarity with energy as a service, equipment leasing, and OEM/CapEx business models is a strong plus.
- Lead legal support for project finance structuring, including financing agreements, security packages, and negotiations with equity and debt suppliers.
- Structure and negotiate long-term strategic partnerships, joint development arrangements, and other complex commercial collaborations.
- Structure and negotiate key project agreements with subcontractors (EPC, O&M, supply agreements, and related contracts).
- Support the development and execution of energy and clean tech projects across Europe and other international markets, including Australia.
- Support on applicable EU (and Australian) regulatory frameworks, incentives, grants, and subsidy-related contractual and compliance matters, coordinating with external grant and regulatory specialists as needed.
- Coordinate with external counsel across jurisdictions when required.
- Identify legal risks and provide pragmatic, business-oriented solutions aligned with company objectives.
- Collaborate closely with internal teams including Finance, Commercial, Operations and Project Development.
- Serve as a trusted legal advisor on a broad range of European legal matters, including corporate governance, strategic transactions, regulatory compliance, executive support, and other general counsel issues that arise in support of the Company’s business objectives.
- Support the establishment, structuring, and full lifecycle of Rondo’s subsidiaries and other corporate entities across Europe, including entity formation, corporate governance, statutory filings and annual reporting, board and shareholder matters, capitalization changes, restructurings, dissolutions, intercompany agreements, and coordination with local notaries, registries, and external tax, labor, and legal advisors to ensure compliance with applicable local laws.
What You Will Bring:
- Law degree (LLB or equivalent); qualified lawyer in Spain or another EU jurisdiction.
- 10 years of relevant experience at a top-tier law firm and/or in-house at a multinational or corporate environment.
- Strong experience in project finance and infrastructure/energy projects.
- Familiarity with energy-as-a-service, leasing, OEM/CapEx business models is a strong plus.
- Proven track record negotiating commercial contracts, term sheets, EPC, and O&M agreements and procurement / supply chain agreements.
- Experience supporting projects involving public funding, grants, incentives (e.g. 45x) or regulated energy frameworks is highly desirable.
- Background in energy, renewables, or infrastructure sectors preferred.
- Excellent drafting, negotiation, and stakeholder management skills.
- Excellent English language skills (written and spoken), including legal drafting and contract negotiation.
