Role Summary
As Corporate Counsel, you will play an integral role in supporting corporate, development-related, site origination and other general transactions related to Rowan’s data center and power infrastructure projects. In this role, you will partner with the Rowan legal and business teams to learn the company structure and project details to enable you to draft a variety of contracts. The role requires advising stakeholders on terms, researching complex legal and business issues, coordinating teams, and developing efficient processes.
The successful candidate will have experience with corporate legal transactions. To succeed, a candidate will need to be a strong lawyer and trusted commercial partner of the business.
Travel: Ability to travel up to 15% to meet with outside parties and for company gatherings
Location: Denver, CO (hybrid, in-office role)
Compensation: $150k - $175k
Essential Responsibilities
Draft and negotiate non disclosure agreements, service agreements, vendor contracts, and related documents.
Assist with corporate governance responsibilities and maintenance of subsidiary companies’ regulatory compliance.
Provide practical advice on development stage contract documents and issues.
Exercise good legal, commercial, and business judgment.
Identify and resolve business and legal risks.
Communicate terms and status to stakeholders.
Education, Skills, and Experience
JD from an accredited U.S. law school
2-4 years of relevant experience as a corporate or business transactions attorney, preferably at a large law firm
Strong drafting, negotiation and communication skills
Ability to manage outside counsel
Knowledge or experience with data center transactions is a plus
Experience managing multiple projects simultaneously; excellent communication and collaboration skills; strong organizational skills; comfort with ambiguity; strong analytical and problem-solving skills; ability and desire to work effectively in a fast-paced and highly cross-functional environment
