Canadian Banking

Canadian Banking is comprised of TD's Canadian personal banking and business banking segments and is the engine of TD Bank representing over 35% of the bank's revenues.  Our dynamic, talented and collegial team of legal professionals provide advice about a wide range of legal issues in Canadian Banking.  We are a results-driven, high-performing team and in this role, you will have the opportunity to support multiple business teams and stakeholders across the enterprise, delivering strategy, risk mitigation, and legal guidance.

Role Overview & Key Responsibilities

The Senior Counsel, Specialized Finance, provides legal advice and manages legal risk relating to specialized financing segments within TD Canadian Commercial Banking. You will:

  • Provide legal advice in the areas of personal and commercial lending, leasing and related financial services

  • Support commercial relationships with automotive and equipment dealer networks and manufacturers

  • Leverage specialized knowledge of consumer protection laws across Canada to assist in the development of agreements, disclosures and processes while also supporting the negotiation of complex commercial agreements with various counterparties

  • Partner with product, technology, compliance and other risk and control functions to structure innovative solutions in a manner that balances client experience, speed-to-market, and regulatory compliance

  • Think innovatively about product development and enhancements, services delivery and advice-giving

  • Be adaptable to change and comfortable navigating ambiguity

  • Guide development of product-related legal documentation, disclosures, and customer terms to ensure clarity, transparency and regulatory compliance

  • Provide risk-calibrated legal advice that meets business objectives within risk appetite

  • Simplify complex and novel legal problems into concepts that colleagues can understand

  • Identify issues and provide practical insight into risks to assist colleagues in making decisions

  • Build an understanding of colleagues' roles and accountabilities to recognize opportunities to use legal expertise to contribute to business solutions and enable business strategy

  • Mentor and provide leadership and guidance to other legal team members on emerging product-related issues and best practices

  • Anticipate the information needs of business partners

  • Establish systematic approaches to legal advice and communication

  • Deliver difficult messages without jeopardizing relationships

  • Escalate issues as appropriate

Core Accountabilities

  • Senior specialist role with principal accountability in the areas of strategic and tactical advice, counsel, influence, relationships and oversight, development of others, and special projects

  • Recognized as a subject matter expert with significant in-depth and/or breadth of expertise in a complex field and knowledge of broader related areas

  • Key relationships are management and senior management

  • Lead in complex, sensitive, and ambiguous situations

  • Give advice and support to other counsel

  • Integrate legal and business needs to identify the need for appropriate policies and procedures within own area.

  • Strong relationship management capabilities

  • Engage stakeholders and apply influence to drive strategic initiatives, planning and/or integrating executional activities

  • Anticipate and frame emerging business trends and risk issues in the broader organizational context as a basis for recommending large-scale product, technical, functional or operations improvements

  • Serve as a source of expert advice to senior management in field of specialty

  • Provide leadership guidance, make recommendations and collaborate with business to ensure solutions meet the business needs on a complex project or program

Qualifications

  • Undergraduate degree or relevant professional certifications, designations, or equivalent required (JD/LLB)

  •  Admission to the Bar in good standing and licensed to practice law in a Canadian province

  • 10+ years relevant experience
