Vice President, Structurer (Credit)

The Structuring Team partners with senior management, Portfolio Management and investment teams across the Credit business to develop and execute fund and financing solutions that broaden the investor base and support the strategic growth of Bain Capital Credit’s funds and investment strategies. The team leads the structuring and execution of Asset-Based Lending facilities, Collateralized Loan Obligations, Rated Note Feeders, Collateralized Fund Obligations and other structured fund solutions, coordinating across internal and external stakeholders. We are looking to hire a Vice President with primary responsibility for the insurance investor universe.

Responsibilities:

• Originate, structure and execute Rated Note Feeders, Collateralized Fund Obligations, and other structured fund solutions for Insurance and risk based capital investors seeking to access Bain Capital Credit’s investment strategies.

• Develop a deep understanding of investors’ objectives, portfolio targets and constraints, regulatory and capital considerations, and preferred investment structures. Serve as a subject-matter expert on the investment products and credit strategies relevant to our insurance partners, assessing fit across strategy, structure, duration, liquidity, ratings, capital treatment, risk and return objectives.

• Own end-to-end transaction workstreams, including economic analysis, term sheet development, due diligence, rating agency engagement, documentation, closing and post-closing management.

• Coordinate closely with Portfolio Managers, Legal, Treasury, Finance and other internal stakeholders, as well as external counsel, financial institutions, rating agencies, investors and other transaction parties.

• Lead rating agency processes and relationships, including interpreting applicable methodologies, developing transaction and rating cases, coordinating information requests and analysis, and driving execution against targeted ratings and timelines.

• Build, review and synthesize detailed financial, structural and scenario analyses to evaluate transaction alternatives, investor outcomes and implications for the Private Credit platform.

• Monitor market, regulatory and competitive developments affecting insurance partners, rated fund products and structured fund solutions, and translate those developments into product development and strategic opportunities.

• Communicate recommendations, transaction considerations, and execution updates clearly to senior management, investors and internal stakeholders through concise written materials and presentations.

• Provide leadership and mentorship to junior team members and help develop scalable processes, analytical frameworks and best practices for the Private Credit Structuring team.

Qualifications & Attributes:

• Strong academic credentials and a demonstrated track record of professional high performance.

• Minimum 7 plus  years of experience with a strong preference for prior credit and insurance experience; backgrounds may include structured credit/finance, fund structuring, insurance solutions, private credit, asset management or a rating agency.

• Strong understanding of insurers’ positioning with regards to evaluating and allocating to credit investments, investment objectives, portfolio constraints and capital considerations.
• Expertise with structuring and executing Rated Note Feeders, Collateralized Fund Obligations, fund-linked securitizations or other structured fund / financing solutions preferred.
• Deep engagement with rating agency methodologies and rating processes, with experience managing rating agency workstreams and established relationships across relevant rating agencies.
• Established familiarity with private credit markets, private credit strategies, fund and capital structures
• Strong financial analysis and modeling skills, including the ability to evaluate complex structures, transaction economics, sensitivities and risk / return outcomes.
• Excellent communication and stakeholder-management skills; able to synthesize complex issues, articulate recommendations concisely, and influence across senior and multidisciplinary audiences.
• High degree of ownership, judgment, attention to detail and execution discipline, with the ability to manage multiple complex workstreams and deliverables.
• Demonstrated leadership skills and the ability to mentor junior professionals, improve processes and contribute to the strategic development of a growing platform.

Compensation

Expected Annual Base Salary $190,000-$215,000

Actual base salary will be determined by a wide range of factors including but not limited to role, function, level, experience, qualifications and geographic location. In addition to a competitive base salary, this position may be eligible for a discretionary annual bonus based upon factors such as individual impact, team and firm performance.
