Job Description:

Job Description Summary:

Supporting IT execution during acquisition and divestiture transactions.

At Solventum, we enable better, smarter, safer healthcare to improve lives. As a new company with a long legacy of creating breakthrough solutions for our customers’ toughest challenges, we pioneer game-changing innovations at the intersection of health, material and data science that change patients' lives for the better while enabling healthcare professionals to perform at their best. Because people, and their wellbeing, are at the heart of every scientific advancement we pursue.

We partner closely with the brightest minds in healthcare to ensure that every solution we create melds the latest technology with compassion and empathy. Because at Solventum, we never stop solving for you.

The Impact You’ll Make in this Role

  • Owning IT M&A execution strategy and delivery accountability across the transaction portfolio, setting the operating plan, execution frameworks, prioritization approach, and risk posture for concurrent acquisitions, divestitures, integrations, and separations, and delivering the outcomes committed to business and corporate development leadership.
  • Shaping transaction outcomes from diligence through close and TSA exit by directing IT due diligence, transaction planning, TSA strategy, pricing inputs, service design, delivery, and exit sequencing, and by making judgment calls on transition approaches where precedent does not exist and the financial and operational stakes are material.
  • Influencing enterprise strategic direction for M&A readiness by partnering with IT, business leadership, Corporate Development, IMO, HR, Legal, Finance, Procurement, Cybersecurity, Architecture, Infrastructure, Data, and Applications leaders to assess transaction feasibility, shape deal-shaping inputs, and align technology capability to inorganic growth and portfolio strategy.
  • Serving as the GCC lead and senior advisor on IT M&A, counseling executive leadership on transaction risk, integration and separation strategy, operating model implications, resourcing trade-offs, cost and synergy exposure, and value realization, with decisions that regularly impact multiple IT and business areas as well as external counterparties.
  • Owning and maturing the IT M&A capability as a global center of expertise, establishing the operating model, governance frameworks, methodologies, playbooks, tooling, talent model, and performance measures that determine how Solventum executes transactions at scale, and coaching practitioners across IT to build organizational readiness.
  • Representing Solventum IT externally with acquirers, divestiture buyers, acquired and divested entities, advisors, and service providers, negotiating transition scope, service commitments, and exit terms, and resolving escalations that carry financial, contractual, and reputational consequence.
  • Directing resource and investment planning for the transaction portfolio by assessing demand across deals, recommending funding and staffing allocations, managing third-party and partner capacity, and making prioritization recommendations that shape how IT resources are deployed against inorganic growth objectives.

Your Skills and Expertise

To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:

  • Master's degree or Diploma in Business Administration, Information Technology, Strategy, or a related discipline from a top-tier institute AND a minimum of 12 years of experience in Information Technology, including 8+ years supporting mergers, acquisitions, divestitures, integration, separation, or business transformation activities

OR

  • Bachelor's Degree or higher from an accredited university, or High School Diploma/GED from an accredited institution, AND a minimum of 14 years of experience in Information Technology, including 8+ years supporting mergers, acquisitions, divestitures, integration, separation, or business transformation activities

AND In addition to the above requirements, the following are also required:

  • Minimum 10+ years working with global IT organizations or IT consulting firms supporting complex technology programs, infrastructure, applications, cybersecurity, digital transformation, or enterprise technology initiatives as part of a Transformation or Deal Management Office.
  • Demonstrated experience leading multiple concurrent, complex transactions end to end, with accountability for execution strategy, governance, delivery outcomes, and enterprise-level dependency, risk, and resource management.
  • Demonstrated experience establishing or owning an M&A operating model, methodology, or center of expertise, including governance frameworks, playbooks, tooling, and capability development across a global organization.
  • Demonstrated ability to advise and influence senior executives and external counterparties, including negotiating transition scope and service commitments, resolving high-stakes escalations, and driving decisions that impact multiple business areas and external parties

Additional qualifications that could help you succeed even further in this role include:

  • Experience leading IT due diligence, Day 1 readiness, TSA planning, TSA execution, TSA exit, integration, separation, or carve-out activities in a consulting firm or within an M&A or transformation office.
  • Deep understanding of enterprise IT capabilities including infrastructure, applications, cybersecurity, architecture, digital workplace, data, and cloud technologies.
  • Experience shaping deal-stage inputs such as technology diligence findings, cost and synergy estimates, TSA pricing, and separation feasibility assessments that inform transaction decisions.
  • Demonstrated ability to resolve complex and ambiguous business challenges through structured analysis, executive engagement, and decisive recommendations.
  • Proven ability to influence and negotiate at an expert level with audiences who may not be knowledgeable in the subject area, managing differing interests across IT, business, and external stakeholders.
  • Experience coaching and developing practitioners across multiple projects or organizations, transferring M&A expertise and building bench strength.
