Skillset and Experience Required

• 16+ years' experience in Company Secretarial, Corporate Governance for European/US entities
• Prior experience in establishing and managing a Company Secretary (CoSec) Shared Services function, with responsibility for corporate secretarial activities, governance processes, statutory compliance, and stakeholder management across multiple entities and jurisdictions
• Experience supporting Boards of Directors, Committees, and senior leadership teams
• Strong knowledge of corporate governance, regulatory compliance, and company secretarial practices
• Strong stakeholder management, communication, organizational, and administrative skills
• High attention to detail, discretion, initiative, and ability to manage multiple priorities effectively

Key Accountabilities

• Manage company secretarial and corporate governance activities for European entities, ensuring compliance with UK/US regulations
• Coordinate & attend Board, Committee, and Shareholder meetings, including agenda preparation, board packs, minutes, and action tracking
• Maintain statutory records, registers, and regulatory filings
• Monitor regulatory developments, support regulatory audits, inspections, and information requests from regulators and Group functions
• Build and maintain effective relationships with senior stakeholders, governance teams, and external bodies
