ESSENTIAL JOB RESPONSIBILITIES include but are not limited to:

- Interacts professionally and timely with clients of the department via email, phone, and in-person.
- Provides legal and operational support to the Corporate Legal team, with a primary focus on contract review, litigation support, corporate governance and legal coordination related to mergers and acquisitions activity.
- Assists in the administration of contracts and contract reviews with moderate guidance, including non-disclosure agreements, vendor agreements, client agreements, engagement letters, confidentiality provisions, business associate provisions, and other routine business contracts.
- Reviews routine agreements to identify key legal and business terms, missing provisions, unusual obligations, indemnity language, limitation of liability clauses, termination rights, renewal terms, confidentiality requirements, and insurance-related provisions
- Coordinates with internal stakeholders, external parties, and outside counsel in connection with subpoenas and litigation matters by collecting information, providing timely responses, and tracking matter status, deadlines, invoices, information requests, budgets, and reporting needs.
- Supports mergers and acquisitions legal activity by assisting with due diligence requests, organizing legal and business documents, maintaining diligence trackers, coordinating document collection, and supporting virtual data room administration.
- Maintains confidentiality of privileged, sensitive, transaction-related, employee, client, and business information.
- Provides other project support or tasks as needed.
REQUIRED EXPERIENCE AND SKILLS include but are not limited to:
- 5-7 years of similar or related experience preferred, including experience in a corporate legal department, law firm, insurance, financial services, brokerage, mergers and acquisitions, litigation, or commercial contracts environment.
- Associate degree, paralegal certificate, or equivalent relevant experience required; bachelor's degree required.
- Experience reviewing routine business agreements and identifying key legal and business terms for attorney review.
- Familiarity with litigation support, subpoenas, discovery, legal holds, matter management, legal process requests, outside counsel coordination, and document production.
- Proficiency with MS Office products required, specifically PowerPoint, Outlook, Word, and Excel.
- Experience with document management systems, contract repositories, eSignature tools, legal matter management systems, virtual data rooms, or eDiscovery platforms preferred.
- Ability to be flexible, work in a fast-paced environment, and prioritize tasks is required.
- Ability to work independently and as part of a team is necessary.
- Ability to attend to details and maintain a high level of organizational skill is required.
- Must be trustworthy and able to maintain confidentiality of information.
- Limited travel required, less than 25%.
