Mergers & Acquisitions Associate (0–2 Years)

Our growing law firm is seeking a motivated Mergers & Acquisitions Associate Attorney to join our corporate practice. This entry-level role is designed for recent law school graduates or newly admitted attorneys who are eager to build a strong foundation in transactional law. You will work alongside a collaborative team of experienced attorneys who are committed to hands-on mentorship and professional development, gaining exposure to sophisticated transactions for clients nationwide. Our firm combines the resources of a large practice with the flexibility to deliver customized, business-focused solutions, providing an ideal environment for a new attorney to learn and grow.

Primary Responsibilities:

• Support senior attorneys in all phases of M&A and investment transactions, including structuring, due diligence, negotiation, drafting, execution, closing, and post-closing integration
• Conduct legal due diligence reviews under the guidance of senior team members and summarize findings for deal teams
• Prepare initial drafts of transactional documents — including purchase agreements, disclosure schedules, and ancillary agreements — under attorney supervision
• Perform legal research on regulatory, corporate governance, and antitrust considerations affecting transactions across a variety of industries
• Analyze legal and business risks in transactional matters and prepare research memoranda to supervising attorneys
• Work collaboratively as part of a high-performing deal team, with increasing responsibility and autonomy as experience and skills develop

The Ideal Candidate Will Have:

• 0–2 years of legal experience; clerkship, internship, or fellowship experience involving corporate transactions is a plus
• Admission to practice law in Nebraska, or current eligibility for admission
• D. from an accredited law school with a strong academic record
• Ability to clearly and concisely communicate complex legal concepts in both written and oral form
• Strong work ethic, attention to detail, and a proactive approach to learning and professional growth
• Effective analytical skills and the ability to work collaboratively in a fast-paced team environment
• A genuine enthusiasm for development and building a long-term career in transactional law
