Job Description
Enfinity is seeking an experienced Associate General Counsel, Americas to provide legal leadership across the Americas region for our renewable energy developer and IPP business.
This is a legal “generalist” role that will start with a strong foundation in real estate or infrastructure (land acquisition, financing and construction) to lead our land acquisition process, while also serving a key role in legal strategy, negotiation, and execution of key commercial contracts across our renewable energy portfolio in the Americas.
The AGC will handle complex legal workstreams, manage outside counsel, and serve as a key thought partner to cross functional leaders in Development, Real Estate, Permitting, Construction, Asset Management, Financing, Procurement and Operations.
This is a high visibility, hands on role in a fast paced, global environment.
Key Responsibilities
This role will be expected to contribute at a senior level across all legal matters, which may include the following:
Strategic Leadership
- Serve as a senior legal advisor to business leaders on strategy, risk mitigation, and commercial decision making.
- Support the General Counsel, Americas in leading regional legal operations and ensuring alignment with global legal standards.
- Drive improvements in legal processes, workflow improvement, governance frameworks, and contract management.
Land Acquisition
- Lead the legal work underpinning land acquisition and site control — from initial option agreements through interconnection, permitting, and the transition of projects to construction-ready status.
- Draft, negotiate, and manage the full suite of site control documents, including options to lease/purchase, ground leases, easements, memoranda of lease/option, non-disturbance and subordination agreements, and amendments and extensions throughout the development lifecycle.
- Structure and document land acquisition strategies in partnership with the development team, including title and survey review, resolution of title defects, and coordination with title companies and surveyors.
- Address zoning, permitting and other land use matters.
Commercial, Project Contracts and Financing
- Handle a variety of financing agreements, as needed, including fluency with project finance transactions, including construction loans, tax equity, long-term debt, intercreditor agreements and security documentation.
- Handle a variety of project contracts, as needed, including fluency with EPC, O&M, module/major equipment supply and strategic vendor contracts.
- Handle other commercial agreements, as needed, including fluency with consulting agreements, NDAs, MSAs, and other ordinary course business agreements.
Assistance with Mergers and Acquisition Transactions
- Support M&A transactions across the project lifecycle, including acquisitions and divestitures of development-stage, construction-ready, and operating renewable energy assets, as well as corporate-level transactions (joint ventures and minority investments).
- Draft, review, and negotiate transaction documents, including purchase and sale agreements, membership interest purchase agreements and related ancillary documents.
- Manage legal due diligence for M&A transactions and working with outside counsel on diligence memoranda and issue lists.
Cross-Functional Alignment
- Partner with development, finance, procurement, and asset management teams across the project lifecycle.
- Provide business-minded legal advice to support decision-making and risk management.
- Align legal strategy with business execution and timelines.
Oversight of Compliance Tracking
- Extracting obligations, deadlines, and covenants
- Developing and updating compliance matrices across financing and EPC agreements
- Ensure internal teams are alerted of upcoming deliveries and contractual obligations.
Requirements
- Juris Doctor (J.D.) and active license to practice in a U.S. jurisdiction.
- 7–12 years of legal experience, with significant experience in real estate/infrastructure (acquisition, financing and construction). Experience with renewable energy infrastructure, project finance, M&A and project contracts is preferred.
- Strong contract negotiation experience, particularly in real estate, financing, mergers and acquisitions, EPC, and supply.
- Experience managing and directing junior counsel or paralegals in contract tracking and compliance.
- Experience advising senior business leaders and managing complex workflows.
- Comfortable in a lean legal environment with high ownership and autonomy.
