We are currently looking for an Assistant Corporate Manager to join our Real Assets team in Luxembourg. This is an excellent opportunity for an experienced corporate governance professional with strong leadership, client management, and project coordination skills to further develop their career within a growing international business.

The role is highly client-facing and involves managing complex real estate and alternative investment structures while supporting, coaching, and overseeing more junior team members. You will work closely with clients, AIFMs, depositaries, legal advisers, and internal stakeholders across multiple jurisdictions to ensure the delivery of high-quality corporate governance and company secretarial services.

Key Responsibilities

• Manage a portfolio of real estate, private equity, and alternative investment structures.
• Oversee the delivery of corporate governance and company secretarial services to a diverse client base.
• Review and coordinate board meetings, shareholder meetings, resolutions, and statutory documentation.
• Ensure compliance with applicable Luxembourg regulatory and legal requirements.
• Monitor regulatory filing deadlines and ensure all serviced entities remain compliant.
• Act as a key point of contact for clients and maintain strong stakeholder relationships.
• Coordinate the onboarding and implementation of new structures, funds, SPVs, co-investment vehicles, and carried interest vehicles.
• Review transactional and corporate documentation, including investment, financing, governance, and legal agreements.
• Lead cross-functional projects involving Accounting, Compliance, Legal, Tax, Risk, and Operations teams.
• Manage corporate actions related to acquisitions, disposals, restructurings, liquidations, and financings.
• Coordinate bank account openings and other entity lifecycle requirements.
• Review corporate governance matters and provide practical recommendations to clients and internal stakeholders.
• Monitor team deliverables and support the development and mentoring of junior team members.
• Assist with resource planning, workload allocation, and process improvements.
• Contribute to management reporting, KPI monitoring, and operational initiatives.
• Promote a strong risk and control culture by identifying process enhancements and operational efficiencies.
• Act as an escalation point for complex corporate governance and transactional matters.

Skills & Experience

• Minimum 6-8 years of experience within Corporate Services, Corporate Governance, Fund Administration, or a similar environment.
• Strong knowledge of Luxembourg real estate, private equity, and alternative investment structures.
• Experience managing a portfolio of corporate entities and client relationships.
• Sound understanding of Luxembourg company law and corporate governance requirements.
• Experience coordinating complex transactions and cross-functional projects.
• Excellent client relationship, communication, and stakeholder management skills.
• Strong organisational and project management capabilities.
• Ability to work independently, prioritize competing deadlines, and manage multiple projects simultaneously.
• Proactive, solution-oriented, and highly detail-focused.
• Experience with industry systems such as eFront, Yardi, Investran, or similar platforms would be considered an advantage.
