POSITION SUMMARY:

The Lead Paralegal, Healthcare Transactions is an individual contributor who performs general legal review and analysis, and provides advice on a variety of matters in a busy, high-performing legal department within a cutting-edge molecular diagnostics company. This position will have a focus on supporting research activities performed under Attorney oversight. Experience in drafting commercial and research agreements is a must. This is a mid-senior level transactional Paralegal position, however Natera often encourages employees to take on additional assignments and projects that interest them and they are capable of. This position requires being a nimble Paralegal who can focus on key risks and provide clear, focused, actionable advice and timely review. 

PRIMARY RESPONSIBILITIES:

• Independently draft, review, and negotiate a wide range of contracts needed for the effective functioning of the Company, focusing mainly on research collaboration agreements, investigator initiated trial agreements, clinical study agreements, material transfer agreements and data use agreements with Attorney oversight.

• Perform legal review and approval of other company documents, such as clinical study consent forms and study protocols.

• Appropriately manage a heavy workflow, setting priorities with internal clients and meeting deliverable timelines.

• Liaise with internal clients and respond to inquiries regarding contracts and other matters, as assigned.

• Learn and contribute to the ongoing development of the Legal Department “playbook” for contract negotiations.

• Collaborate closely with attorneys to design, implement, and refine efficient workflows that streamline the contracting lifecycle, including template management, intake triage, document tracking, and coordination across business stakeholders to improve turnaround times and operational consistency.

• Employees must complete training relating to HIPAA/PHI privacy, General Policies and Procedure Compliance training and security training as soon as possible but not later than the first 30 days of hire.

• Must maintain a current status on Natera training requirements.

QUALIFICATIONS:

• 5+ years of experience as a Paralegal in commercial research contracts and general corporate practice, including 3+ years of experience in a major law firm; in-house experience a big plus.

• Experience in advising clients in biotech, life science and/or health care industries.

• Experience in reviewing, drafting, negotiating and finalizing commercial contracts, including complex arrangements independently, with Attorney oversight

The Corporate Counsel, R&D and Healthcare Transactions is an individual contributor attorney who performs general legal review, analysis, and advice on a variety of matters in a busy, high-performing legal department supporting a cutting-edge molecular diagnostics company. This is a mid-level transactional attorney position, although Company encourages employees to take on additional assignments and projects that interest them and they are capable of. Requires a nimble lawyer who can focus on key risks and provide clear, focused, actionable advice. 

PRIMARY RESPONSIBILITIES:

• Independently draft, review, and negotiate a wide range of contracts needed for the effective functioning of the Company, including clinical study agreements, material transfer agreements, vendor agreements, license agreements, distributorship agreements, services agreements, consulting agreements, payor network agreements, NDAs, etc.
• Perform legal review and approval of other company documents, such as clinical study consent forms and marketing materials, as needed.
• Support senior level attorneys in providing general legal advice and strategy to internal clients on legal and compliance matters related to Company’s business, particularly, its international operations and GDPR compliance.
• Appropriately manage a heavy workflow, setting priorities with internal clients and meeting deliverable timelines.
• Provide ongoing assistance with training, monitoring and improving of compliance with the Legal Department’s policies and procedures.
• Liaise with internal clients and respond to inquiries regarding contracts and other matters, as assigned.
• Learn and contribute to the ongoing development of the Legal Department “playbook” for contract negotiations.
• This role works with PHI on a regular basis both in paper and electronic form and has an access to various technologies to access PHI (paper and electronic) in order to perform the job.
• Employee must complete training relating to HIPAA/PHI privacy, General Policies and Procedure Compliance training and security training as soon as possible but not later than the first 30 days of hire.
• Must maintain a current status on Natera training requirements.

​QUALIFICATIONS:

• JD degree from top-tier law school.
• 5+ years of experience as an attorney in commercial contracts and general corporate practice, including 3+ years of experience in a major law firm, in-house experience a big plus.

• Experience in advising clients in biotech, life science and/or health care industries.
• Member of California Bar or eligible to register as Registered In-House Counsel.
• Experience in reviewing, drafting, negotiating and finalizing commercial contracts, including complex arrangements independently with little or no supervision
• Demonstrated experience in one or more of the following areas is highly desirable:
  • Healthcare transactions
  • Clinical study agreements
  • GDPR
  • Payor agreements
  • Cross-border commercial transactions and distributorship agreements

POSITION SUMMARY

The Director, Corporate Compliance is an individual contributor role that reports to the Sr. Director of Corporate Compliance and assists in leading projects that support overall Compliance initiatives as designated by the Chief Compliance Officer. The position supports the day-to-day functions of the Compliance department as well as special projects and assessments through data analysis, process improvement, auditing, report development, and policy maintenance. 

PRIMARY RESPONSIBILITIES

• Supports the compliance function by developing and executing high level strategic business objectives that support the growth of key business areas.
• Supports the compliance department with execution on key strategic objectives of the business that support both long term and short term goals of the three key business units of the company.
• Implements key objectives of the Compliance Department that allows for proactive compliance risk identification.
• Develops clear, qualitative and/or quantitative analyses in support of Corporate Compliance programs and initiatives.
• Develops innovative, interactive, and informative training on a variety of compliance and privacy topics.
• Develops, implements, and monitors key compliance functions and risk areas under direction of Sr. Director of Compliance and the Chief Compliance Officer in accordance with OIG guidance for clinical laboratory compliance programs.
• Provides analysis and summary reports on an “ad-hoc”, as well as routine basis at the direction of the Sr. Director of Compliance or the Chief Compliance Officer.
• Responsible for maintenance of peripheral databases and trackers that support Corporate Compliance reporting needs.
• Supports monitoring of key Compliance risk areas.
• Manages time effectively and regularly meets expected deadlines.

QUALIFICATIONS

• Bachelor’s degree or equivalent relevant work experience required.  Master’s degree or JD preferred.
• Minimum 8 years of business experience required with 6 years healthcare compliance experience in a clinical laboratory.
• Advanced data analysis, data mining, and medical coding experience preferred.
• Certification in Compliance from HCCA or equivalent preferred (CHC Certification)

KNOWLEDGE, SKILLS, AND ABILITIES

• High level of working knowledge of federal and state healthcare laws and regulations including but not limited to AKS, Stark, CMP, and Exclusion Authority.
• Advanced computer skills and proficiency in MS Word, Excel, Access, and PowerPoint required.
• Ability to interact with all levels of organization including sales function, senior management, and Board of Directors.
• Ability to deal with confidential information and/or issues using discretion and judgment.

• Duties are performed in a remote home office environment.
• This position requires the ability to use a computer keyboard, read printed materials and communicate through email and over telephone.
