About the Role

iCapital is hiring a Vice President, APAC Legal Counsel to join its International Legal Team and work with the broader iCapital team in APAC. The focus will include representing private funds sponsored in APAC (predominantly Cayman- and Australia-domiciled funds) on a wide spectrum of matters including fund formation, marketing, structuring and distribution matters. The ideal candidate should have strong experience in both drafting and negotiating fund documents, side letters, placement agreements and related fund materials, and have the capability of workshopping and ultimately launching new fund structures and strategic initiatives at iCapital.  The candidate will work closely with the broader International Legal team, as well as the Client Solutions, Product Development and Structuring, Regulatory & Compliance and other operational teams at iCapital. This is a unique opportunity to work with a dynamic team and meaningfully contribute to the expansion of a growing business

Responsibilities

• Draft and negotiate various agreements with counterparties including many of the world’s largest and most sophisticated fund managers and leading distribution agents
• Draft and review private fund offering materials, partnership agreements and related private fund legal documentation
• Advise on the legal implications of offering new and existing products and services across jurisdictions
• Coordinate with outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment work
• Engage in, solution and execute on new initiatives, structures and business lines as the company grows and evolves
• Drive legal projects with on-time and on-budget results
• Work on general corporate matters and a broad range of commercial contracts

Candidate Profile and Qualifications

• Desire to work at a high-growth company in a fast-paced environment
• Qualified lawyer with 5+ years PQE in a major common law jurisdiction
• Proven legal expertise in multiple practice areas, such as financial markets, commercial and corporate, with a keen interest in asset management and/or financial technology and the development of the industry
• Strong knowledge of Cayman fund structures
• Knowledge of Australia and Singapore fund structures is a plus
• Knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940 and the Securities Act of 1933 is a plus
• Knowledge of fund and cross-border regulations is a plus
• Japanese language skills is a plus
• Strong interpersonal and leadership skills
• Willingness to learn new topics and work in an evolving business environment
• High level of integrity
• A proactive attitude and ability to work cross-functionally and ability to think through complex concepts and tackle them in an organized and efficient manner

About The Role

We are currently hiring a Vice President– Product Structurer to join our APAC Product Development and Structuring Team. This pivotal role, as part of our growing team in APAC will be based in Singapore, is dedicated to supporting our valued clients and partners as we expand our successful business in APAC.

As the Vice President – Product Structurer, your responsibilities will encompass two critical areas:

• Technical Input and Fund Structuring: You will support the team to provide expert technical insights into fund structuring specifically tailored for the major APAC markets. This involves collaborating with top global alternative investment managers and key regional financial institutions (e.g. global and regional banks, wealth management platforms).
• Product Lifecycle Management: Your focus will be on alternative investment vehicles within the private market asset space. You’ll oversee the entire product lifecycle, ensuring optimized fund offerings that align with the investment appetites of our discerning clients. This strategic work directly supports the delivery and implementation of market strategies for private wealth markets.

Responsibilities

• Drive Fund Launch Initiatives for the APAC Market: support the launch of new private market fund offerings across APAC, including supporting client pitches for new product mandates, driving the product design and structuring process, and overseeing the end-to-end fund launch process.
• Deepen Market Knowledge: Cultivate an in-depth understanding of the targetable market for iCapital in APAC region. Leverage insights from regional industry landscape studies, competitor research, and client/market trends, collaborating closely with internal teams.
• Stakeholder Collaboration: Work closely with both internal and external stakeholders to establish an effective product operational infrastructure and operating model that aligns with our growth aspirations across APAC.
• Scalability Enhancement: Continuously improve governance framework to improve the scalability of the fund launch process originated in APAC markets.
• Global and Asia-Pacific Expansion: As a member of our growing Asia team, collaborate with colleagues to expand iCapital’s offerings. This includes:
• Leading projects for onboarding new funds.
• Contributing to decisions regarding new market entries and additional fund structures.
• Shaping iCapital’s service offerings across diverse geographies and fund types.
• Preparing and presenting new fund proposals to decision-making groups.
• Assisting with various fund launch activities, including material preparation.
• Handling ad hoc requests.

Qualifications

• Bachelor’s degree and/or master’s degree in a relevant field
• A minimum of 5-10 years in a private market-focused product development role within asset management, financial services, or legal services
• Prior exposure to fund legal structuring would be an advantage
• Familiarity with the latest product and regulatory developments for private market product development in the major jurisdictions in APAC (e.g. Singapore, Hong Kong Japan, Australia, etc.)
• Extensive experience in structuring private fund vehicles applicable to the major APAC market is expected
• Strong understanding of various investment fund structures across a variety of domiciles e.g. Cayman, Luxembourg etc. across multiple asset classes (real estate, infrastructure, credit, private equity and hedge funds)  
• Comprehensive knowledge of the private wealth market in the major jurisdictions in APAC is a significant advantage
• Strategic thinking and the ability to translate complex structuring considerations into practical fund solutions
• Strong analytic and problem-solving skills to navigate complex structuring and commercial challenges
• A positive attitude and a desire to work in a fast-moving, entrepreneurial environment
• Ability to be detailed and task-oriented, handling multiple tasks and prioritizing assignments effectively
• Excellent communication skills, with the ability to articulate complex structuring matters
• Ability to collaborate effectively with various teams, including client solutions, legal and operations etc.
• Fluency in English (both written and verbal) is required. Proficiency in other Asian language is a plus but not essential

About the Role

iCapital is looking for a talented Assistant Vice President to join the APAC Platform Solutions team in Singapore. The role encompasses supporting multiple projects focused on technical implementation and client delivery, while also addressing the technical and operational needs of all platform offerings. Additionally, you will identify and support the development of custom features for new partners, including designing and implementing unique platform features.

This role requires strong analytical skills, technical expertise, and the ability to manage client facing project delivery. The ideal candidate combines these capabilities with a passion for learning and growth, and thrives in a collaborative, fast-paced, entrepreneurial environment.

Responsibilities

As an Assistant Vice President, you will support multiple projects and tasks, focusing on technical implementation and client delivery. These tasks may include:

• Defining and supporting client workflows and use cases:
• Conduct client session in product demonstration, workflow design and process definition.
• Define test case and manage roll out of UAT and Production environment for successful client onboarding.
• Managing technical implementation and configurations to achieve client business outcomes and target operating model:
• Gather and translate business and functional requirements into platform configurations to answer client needs.
• Manage SSO, SFTP and ETL setups, ensuring secure and efficient data transfer.
• Data Integration & Data Analysis:

• Work with complex data models and large datasets to support client integration and reporting needs.

• Validate and transform data from multiple sources (including CSV flat files) to ensure accuracy and completeness:

• Define and implement basic ETL pipelines.
• Generate custom client reports based on aggregated data and business requirements.
• Project Management & Coordination:
• Monitor milestones, deliverables, and dependencies across multiple workstream to ensure timely delivery.
• Prepare project status reports, meeting notes and task tracker for progress visibility and alignment with internal & external stakeholders.
• Maintain comprehensive documentation of workflows, specifications and integration processes to facilitate knowledge transfer and ensure compliance.
• Developing deep platform expertise and driving continuous improvement:
• Learn and support all interfaces on the iCapital platform.
• Proactively identify issues and areas for improvement from a business to technical view.
• Collaborating with senior management to engage new opportunities and strategic initiatives.

Qualifications

• Bachelor’s or Master’s degree in computer science, information systems, Software Engineering, Engineering, or a related technology/data field.
• 6+ years of work experience in business integration, project technology implementation, ideally with client-facing solution delivery and a strong client-centric mindset.
• Experience with technical platform integration in the Financial Services, wealth or asset management experience is preferred.
• Experience in analyzing system workflows and business process flow is a plus.
• Expertise in data integration fundamentals (SQL, ETL, API) is preferable, with strong aptitude to learn and grow in these areas.
• Excellent communication and documentation skills with ability to articulate business process, technical concepts to both technical and non-technical audience.
• Proven ability to manage projects in fast-paced environment, balancing competing priorities and engaging diverse client stakeholders with strong attention to detail, leveraging project management and collaboration tools to drive efficiency and transparency.
• Experience of working in an agile environment where you have responsed quickly to changing business needs.
