About the Role
Armada is seeking a pragmatic, business-minded Corporate Counsel to join our Legal team, reporting directly to the Head of Legal. This is a high-impact role for an attorney who thrives in fast-moving environments and wants broad exposure across corporate governance, strategic transactions, commercial matters, and operational legal support.
As Corporate Counsel, you will partner closely with leadership and cross-functional stakeholders across Finance, People, Operations, Product, GTM, and Engineering to help Armada scale responsibly and efficiently. You will support a wide range of legal initiatives, including corporate governance, strategic transactions, entity management, and day-to-day corporate legal operations.
This role is ideal for an attorney who combines strong legal fundamentals with sound business judgment, enjoys operating with autonomy, and is excited to build scalable processes at a rapidly growing technology company.
What You’ll Do
- Support corporate governance matters, including board and committee materials, resolutions, minutes, consents, and maintenance of corporate records across the corporate group.
- Assist with strategic transactions, including mergers and acquisitions, investments, financing transactions, strategic partnerships, and related diligence and documentation.
- Support subsidiary management and entity governance across domestic and international jurisdictions, including formations, qualifications, annual filings, and compliance obligations; coordinate with local counsel to ensure entities remain in good standing.
- Help manage equity-related matters, including equity award documentation, cap table coordination, 409A processes, and support for employee equity programs.
- Assist with corporate policies, compliance initiatives, and risk management processes as Armada scales globally, including policies governing insider trading, conflicts of interest, and corporate conduct.
- Partner cross-functionally with Finance, People, Operations, and business leaders on corporate and operational legal matters.
- Work closely with outside counsel on corporate, employment, compliance, and transactional matters as needed.
- Build and improve legal templates, playbooks, workflows, and operational processes to drive efficiency and scalability.
- Provide practical, business-oriented legal advice that balances risk management with execution velocity.
- Contribute across a wide variety of legal and operational projects in a collaborative, high-ownership environment — Armada moves fast and priorities shift; flexibility and good judgment are essential.
What We’re Looking For
- J.D. from an accredited law school and active membership in at least one U.S. state bar
- 4–7 years of relevant legal experience at a top law firm and/or in-house legal department
- Strong foundation in corporate law, commercial transactions, and corporate governance
- Experience supporting strategic transactions, financing matters, or M&A is a plus
- Exceptional drafting, negotiation, organizational, and project management skills
- Ability to simplify complex legal concepts into practical guidance for business stakeholders
- Comfortable operating independently in a fast-paced, evolving environment with shifting priorities
- Strong attention to detail with a proactive, solutions-oriented mindset
- Collaborative team player with excellent judgment and communication skills

As a Distinguished Engineer / Technical Fellow, you will be the primary architect of Armada’s long-term technical vision. This is a "builder-leader" role for a world-class technologist who possesses a deep, fundamental understanding of data center architecture, high-density compute, and massive-scale AI infrastructure. You will solve the most difficult technical hurdles across our core product suite while leading the R&D for "Next Horizon" projects, such as Data Centers in Space. Beyond internal development, you will act as a key technical diplomat, collaborating with our most strategic industry partners to design deep-tech solutions that deepen Armada’s product adoption and expand our reach into entirely new frontiers.

What You'll Do (Key Responsibilities)
- Architecting the Universal Edge: Lead the evolution of the Armada Edge Platform (AEP), ensuring seamless orchestration of compute and AI workloads across globally distributed, high-latency, and disconnected environments.
- Next Horizon Projects: Drive the architectural roadmap for visionary initiatives, including Data Centers in Space. This involves adapting the Armada stack for orbital compute modules and solving for the unique challenges of Low Earth Orbit (LEO)—including radiation-tolerant software, thermal management, and power-constrained AI processing.
- Strategic Partner Engineering: Work directly with elite industry partners to co-design solutions that integrate Armada’s technology deeper into their global ecosystems. You will ensure our platform becomes the standard infrastructure for compute, whether terrestrial or orbital.
- Technical Strategy: Partner with Company Leadership to define the 3–5 year technical roadmap, identifying emerging technologies in high-density GPU orchestration and orbital data processing that align with our long-term business goals.
- Hard-Problem Solver: Act as the final point of escalation for complex architectural challenges involving real-time data streaming, computer vision, and network-aware workload distribution.

Required Qualifications:

- Experience: 15+ years of software engineering experience, with a proven track record as a Distinguished Engineer, Fellow, or equivalent senior technical leader at a major infrastructure or AI company.
- Distributed Systems Mastery: Expert-level knowledge of distributed systems and data storage in resource-constrained, remote, or "denied" environments.
- Systems Programming: Mastery of Go, C++, or Rust, with a deep understanding of how software interacts with physical compute hardware and non-terrestrial networking layers.

We are seeking an experienced, business-savvy Technical Accountant who excels in a dynamic, hyper-growth environment to join our Finance organization as Director, Technical Accounting. In this role, you will serve as the Company’s foremost accounting authority in specific areas of responsibility, providing strategic guidance on complex accounting matters while building and leading cross-functional projects. What You'll Do (Key Responsibilities):
- Serve as one of the Company's principal technical accounting authorities, providing expert guidance on complex accounting matters, including revenue recognition, equity transactions, leases, business combinations, and emerging issues
- Partner with business teams to assess accounting implications of new products, business models, partnerships, and strategic transactions before they are executed
- Embed with functional teams across the organization to provide real-time accounting consultation and build strong working relationships with business partners

Who You Are
Experience & Skills

- Accounting Advisory experience or National Office tour in a Big 4 public accounting firm highly preferred
- Have substantial experience working at or with high-growth technology companies
- Possess deep expertise in US GAAP accounting and reporting requirements, with proven ability to research and document complex accounting conclusions
- Experience with complex accounting transactions and technical GAAP research, including expert understanding of US GAAP (ASC 606, ASC 842, and ASC 718)
- Experience working w/ multi-national entities and a strong understanding of consolidated financial reporting, including functional currency analysis
- Experience coaching team members through technical accounting challenges
- Proven successful project management skills. Ability to represent leadership on projects within multiple areas, interfacing with project managers, finance teams, and middle management
- Excellent analytical, problem-solving, and organizational skills

Qualifications
- Bachelor's degree in Accounting or Finance
- Certified Public Accountant (CPA) or equivalent certification

Armada is hiring a Senior Manager of Analyst Relations to own and grow our analyst relations program with a key focus on participation in key industry evaluations such as Gartner Magic Quadrants, Forrester Waves, and similar reports. Key Responsibilities
