Why we're hiring:
We are looking for a qualified and experienced Company Secretary to join our Cosec team. The incumbent will be responsible for managing the secretarial and corporate governance functions of the Public Unlisted, Private, Trusts and its other associated entities, ensuring compliance with the Companies Act, 2013, Secretarial Standards, and other applicable corporate laws while supporting the Board, Committees and senior management.
What you'll be doing:
Key Responsibilities
Corporate Secretarial
· Manage end-to-end secretarial compliances under the Companies Act, 2013 and applicable rules.
· Organise and coordinate Board Meetings, Committee Meetings and General Meetings.
· Prepare and finalise notices, agendas, explanatory statements, Board papers, minutes and resolutions.
· Maintain statutory registers, minute books and other statutory records.
· Ensure timely filings of statutory forms and returns with the Registrar of Companies (MCA).
· Ensure compliance with Secretarial Standards (SS-1 and SS-2) issued by ICSI.
· Assist in appointment and cessation of Directors, Key Managerial Personnel and Auditors.
· Coordinate annual disclosures from Directors and KMPs.
Corporate Governance
· Advise management and the Board on governance matters and statutory obligations.
· Ensure implementation of governance best practices across the organisation.
· Support Board evaluation, annual compliance calendars and governance reporting.
· Liaise with Independent Directors and other Board members.
· Ensure compliance with delegation of authority and governance frameworks.
Regulatory Compliance
· Monitor changes in corporate laws and assess their impact.
· Coordinate with internal stakeholders to ensure timely statutory compliances.
· Assist in preparation of the Directors’ Report and Annual Report.
· Support Secretarial Audit and internal governance reviews.
· Coordinate with statutory auditors, secretarial auditors and regulators.
Corporate Transactions
· Support mergers, acquisitions, restructuring, capital restructuring and other corporate actions, wherever required.
· Draft and review Board and shareholder approvals relating to corporate transactions.
· Assist in incorporation of companies, strike-off, liquidation and restructuring activities.
Stakeholder Management
· Work closely with Finance, Tax, HR, Legal and Business teams.
· Coordinate with external consultants, law firms and regulatory authorities.
· Build effective working relationships with senior management and Board members.
Documentation & Record Management
· Maintain corporate records in both physical and electronic formats.
· Ensure proper documentation and archival of governance records.
· Support compliance management systems and governance databases.
Candidate Profile
· Qualified Company Secretary (ACS/FCS) with membership of ICSI.
· LL.B. will be an added advantage.
· 5-8 years of post-qualification experience for Manager
· Experience in an unlisted public company or large corporate group is preferred.
· Exposure to multinational organisations will be an advantage.
· Experience in handling Board and Committee matters independently.
· Working knowledge of corporate restructuring, governance and regulatory compliance.
· Strong drafting and communication skills.

What you'll need:
Candidates having prior experience in handling secretarial compliances for multiple group companies, Board governance, Independent Directors, committee management and multinational governance structures will be preferred.
