THE OPPORTUNITY

We are looking for an autonomous, strategic, and flexible mid-level Legal Counsel who will thrive in a high-pressure, high-stakes creative environment. This role will handle deal negotiations for a broad range of creative production projects across Asia-Pacific, clearance of international marketing campaigns, provide practical and business-focused guidance and support to internal business stakeholders as well as working collaboratively alongside our other regional legal teams. This is a role where you’ll report to a Senior Legal Counsel (APAC), partner with the rest of the legal team working across the globe and collaborate with counterparts in other functions (e.g. Finance, HR, Tax, IT/Data and Growth teams). 

RESPONSIBILITIES 

• Draft, negotiate, and review a variety of legal documents and contracts that bolster our creative production teams in taking on bigger and bolder projects. Your primary focus will be on our MSAs, Statements of Work, RfPs, NDAs, and third party agreements.
• Join negotiations with internal teams and clients on commercial contracts and other legal agreements for our projects to negotiate commercial terms to align with company policies and objectives as well as mitigate potential risks involved with specific contract terms.
• Provide legal support and advice on compliance and clearance matters for all of our projects and campaigns in APAC.
• Work collaboratively with the APAC legal team to create, update and roll out contract policies and commercial/legal strategies to ensure the support of the business as it scales.
• Monitor changes and developments in the legal and regulatory environment in the APAC markets, and provide appropriate advice on such changes and developments.
• Liaise with account managers and producers, amongst others throughout the company, to ensure correct implementation of all legal guidelines and other policies, and ensure compliance at all times. You will act as a trusted advisor to the internal stakeholders and make sure that compliance can be ensured.
• Create, maintain, and update internal agreement templates to reflect changes in the company's business and the legal landscape in general.
• Stay current on relevant industry, commercial, IP, privacy, data, employment, and other laws, regulations, and developments to adapt our commercial processes accordingly.
• Help manage our legal administration to keep our day-to-day legal practices up-to-date.

PREFERRED EXPERIENCE AND QUALIFICATIONS 

• 4+ years experience working in a similar role - ideally with some in-house counsel experience.
• Qualified lawyer in good standing admitted to practice in a qualified jurisdiction.
• You can work in English and Mandarin at a high professional level (written and verbal). 
• Demonstrated hands-on experience with digital advertising, technology, content and digital media, contract and commercial law, and copyright matters.
• Experience in privacy, intellectual property, HR and general corporate law is a huge plus.
• You have excellent communication skills and are fluent in English and Mandarin (written and verbal). Other languages are a plus!
• You have negotiating skills and are experienced in drafting commercial contracts.
• You can provide practical and business-focused guidance and support to internal business stakeholders. 
• You have excellent organisational and administrative skills.

Legal Counsel, China

Role summary - We’re looking for a highly talented corporate lawyer to be part of our great global legal team. The Legal Counsel, Mainland China, will provide legal support in a variety of cross-organizational matters, including corporate matters, privacy, employment, procurement and banking relationships. The role will also support PRC regulatory matters in close collaboration with regional and global stakeholders. The position is based in Shanghai and will report to the Head of Legal Affairs, China, based in Shanghai.

What you’ll do

• Providing legal support on corporate governance matters for Payoneer’s entities in China.
• Drafting, reviewing, and negotiating a variety of corporate and commercial documents and agreements, including purchasing agreements, consulting agreements, partnership agreements, policies, and engagements with financial institutions.
• Providing regulatory legal support on PRC matters related to payments, FX as well as data protection and privacy.
• Providing guidance on employment law matters.
• Partnering with global legal and cross-functional teams to align on group policies, standards, and contract templates.
• Partnering with business, product and R&D to support the regulatory assessment of new products, services and GTM initiatives in China.
• Liaising and working with outside counsel in the region.
• Staying up to date with applicable PRC laws, regulations and industry guidance that impact Payoneer, monitoring key PRC regulatory developments and sharing such learnings with relevant stakeholders.
• Liaising with internal and external stakeholders on legal matters, and collaborating with business, operations, finance, treasury, tech, compliance, internal audit and other teams within Payoneer to enable effective execution.

Who you are 

• 4-7 years of post-qualification legal experience.
• Bar qualification, in good standing.
• Excellent English professional language proficiency, spoken and written.
• Excellent communication and interpersonal skills to effectively interact with all levels of the organization and external stakeholders.
• Ability to manage multiple priorities and stakeholders.
• Ability to work independently as well as collaboratively within a team environment.
• Collaborative team player experienced at working with cross-functional teams across multiple jurisdictions and with flexibility to align with colleagues in different time zones.

Not a Must, but a Great Advantage：

• Privacy expertise, including PIPL and experience handling cross-border data transfer projects.
• Experience working directly with regulators and regulatory authorities in China
• Mixed background from both a reputable law firm and in-house legal team. Financial services, payments industry, and money transmitter experience is preferred.
• Multinational company experience and comfort operating in a matrixed environment.
