Job Title: Executive – Company Secretary & Legal 

Location: [Bangalore] 

Experience: 1–3 Years 

Qualification: Qualified Company Secretary (ACS) / CS Professional, LLB preferred

Key Responsibilities: 

• Assist in conducting Board Meetings, Committee Meetings, AGMs, and preparation of notices, agendas, resolutions, and minutes. 
• Ensure compliance with the Companies Act, 2013, and timely filing of statutory forms and returns with MCA/ROC. 
• Maintain statutory registers, corporate records, and compliance trackers.
• Support global entity compliance activities, including coordination with overseas service providers, maintenance of statutory records, annual filings, director/officer changes, and governance requirements across multiple jurisdictions. 
• Draft, review, and manage contracts, NDAs, vendor agreements, employment agreements, and other legal documents. 
• Conduct legal research and assist in regulatory, corporate, and commercial legal matters. 
• Support corporate transactions, due diligence, fundraising, and restructuring activities. 
• Liaise with external consultants, auditors, legal counsels, and regulatory authorities.
• Monitor legal, secretarial, and regulatory compliances and provide periodic compliance reports to management. 

Requirements: 

• Qualified Company Secretary (ACS) or CS Professional; LLB preferred.
• 1–3 years of experience in Company Secretarial and Legal functions. 
• Good understanding of the agreements, and regulatory compliances.
• Exposure to global compliance management for overseas subsidiaries/entities will be an advantage. 
• Strong drafting, analytical, communication, and stakeholder management skills.
• Proficiency in MS Office and MCA filings.
