We are seeking a qualified and business-oriented Legal Counsel – Banking, Finance & Corporate to support a broad range of corporate transactions, financing activities, and strategic legal initiatives. This role is ideal for a legal professional with strong expertise in banking and finance laws, corporate legal matters, and M&A transactions, who can provide practical legal guidance while enabling business growth.
As Legal Counsel, you will work closely with business leaders, finance teams, external advisors, and regulatory stakeholders to manage complex legal transactions, ensure statutory compliance, and mitigate legal risks. You will play a key role in structuring financing arrangements, supporting mergers and acquisitions, reviewing commercial agreements, and advising on corporate governance while delivering commercially sound legal solutions.
Requirements
Key Responsibilities
- Advise on banking and finance matters, including lending transactions, security creation, financing structures, and related regulatory requirements.
- Support corporate legal activities, including corporate governance, board and shareholder documentation, statutory filings, and compliance obligations.
- Assist with mergers and acquisitions by conducting legal due diligence, supporting transaction structuring, and drafting, reviewing, and negotiating transaction documents.
- Review, draft, and negotiate financing agreements, commercial contracts, and other transaction-related legal documentation.
- Coordinate with internal stakeholders, external legal counsel, financial advisors, regulatory authorities, and counterparties throughout transaction lifecycles.
- Identify legal, contractual, and regulatory risks while providing practical, commercially focused legal advice.
- Support transaction closing activities, post-closing integration, and ongoing compliance requirements where applicable.
- Monitor developments in banking, corporate, and M&A regulations and advise the business on potential legal implications.
- Maintain accurate legal documentation and ensure adherence to internal governance policies and regulatory standards.
- Contribute to the continuous improvement of legal processes, contract management practices, and compliance frameworks.
What Makes You a Great Fit
- Qualified lawyer with 3+ years of relevant post-qualification experience.
- Strong expertise in banking and finance laws, corporate legal advisory, and commercial transactions.
- Good working knowledge of mergers and acquisitions, transaction structuring, and legal documentation.
- Experience supporting corporate transactions in an in-house legal team or providing in-house-style legal advisory.
- Excellent drafting, contract review, negotiation, and legal risk assessment skills.
- Strong understanding of corporate governance, statutory compliance, and regulatory requirements.
- Commercially minded with the ability to provide practical, solution-oriented legal advice.
- Excellent communication and stakeholder management skills with the ability to collaborate across cross-functional teams.
- Ability to manage multiple legal matters independently in a fast-paced business environment.
- Prior experience supporting financing transactions, corporate restructuring, or large-scale commercial projects will be an added advantage.
