Role Summary 

Range Energy is seeking a Senior Legal Operations Manager & Corporate Paralegal to help build and manage the systems, processes, and records that support our legal function as the company enters its next stage of growth.

Reporting to the General Counsel and Chief Strategy Officer, you will serve as the operational backbone of the legal department. You will support corporate governance, transactions, securities compliance, contract administration, entity management, diligence, Board processes, and outside counsel management.

This is not a narrow or highly specialized paralegal role. You will work across the company, coordinate complex legal workstreams, improve how legal work gets done, and take ownership of projects that might otherwise be handled by outside counsel. You should be comfortable moving between detailed administrative work, transaction management, legal technology, and cross-functional coordination.

Initially, the role will include significant support for capital markets, public-company readiness, corporate governance, and transaction-related work. The role will also serve as Range’s primary contract administrator, supporting the intake, tracking, execution, storage, and renewal of commercial agreements.

Key Responsibilities

  • Maintain the company’s corporate records, minute books, charters, policies, resolutions, consents, and governance materials

  • Support the preparation and distribution of Board and committee agendas, meeting materials, resolutions, minutes, and written consents

  • Coordinate Board and committee calendars, approvals, signatures, and follow-up items

  • Maintain director and officer information, questionnaires, independence materials, and governance records

  • Support annual meetings, stockholder actions, director appointments, and committee administration

  • Coordinate with directors, executives, outside counsel, Finance, People, and other internal stakeholders on governance matters

    • Manage legal workstreams, calendars, checklists, deliverables, and internal follow-up for financings, strategic transactions, and public-company readiness

    • Administer virtual data rooms and coordinate responses to legal, financial, and business diligence requests

    • Collect, organize, index, and maintain contracts, corporate records, policies, permits, licenses, and other diligence materials

    • Maintain transaction checklists, signing schedules, closing documents, and electronic closing binders

    • Support preparation and distribution of director and officer questionnaires, insider lists, verification materials, and disclosure support files

    • Coordinate signatures, notarizations, certifications, good-standing certificates, and other closing requirements

    • Support Section 16 administration, including information collection and coordination of Forms 3, 4, and 5

    • Maintain securities, governance, filing, and public-company compliance calendars

    • Coordinate with outside counsel, filing agents, transfer agents, equity administrators, auditors, and other service providers

    • Assist with document comparison, proofreading, cite checking, version control, and document production

      • Serve as the primary administrator for the company’s contract intake and review process

      • Maintain the company’s contract repository and ensure executed agreements are complete, searchable, and properly categorized

      • Track contract status, owners, effective dates, renewal dates, termination rights, notice periods, and other key obligations

      • Coordinate contract requests among Legal, Sales, Supply Chain, Finance, Engineering, People, and other teams

      • Manage signature workflows and confirm that agreements receive required approvals before execution

      • Maintain approved templates, playbooks, and standard forms

      • Assist with preparation of routine agreements, amendments, statements of work, nondisclosure agreements, and other legal documents under attorney supervision

      • Identify missing contracts, inconsistent records, expiring agreements, and process gaps

      • Support implementation and administration of a contract lifecycle management system

      • Help develop reporting on contract volume, cycle times, renewals, obligations, and legal workload

        • Build and improve legal intake, matter management, document management, and approval processes

        • Help select, implement, and administer legal technology, including contract management, Board management, e-signature, entity management, and workflow tools

        • Develop practical templates, checklists, guides, and self-service resources for internal teams

        • Track legal department projects, deadlines, budgets, and priorities

        • Review and process outside counsel invoices and identify billing issues, duplication, and budget variances

        • Maintain matter budgets and assist with outside counsel forecasting and reporting

        • Coordinate engagement letters, conflict checks, billing guidelines, and vendor onboarding for outside firms

        • Prepare legal department reports and metrics for the General Counsel and company leadership

        • Support insurance renewals, claims administration, business licenses, corporate filings, and other compliance matters

        • Maintain organized and reliable legal records that can withstand diligence, audit, regulatory, and public-company review

        • Take ownership of administrative and operational work so that attorneys and outside counsel can remain focused on substantive legal matters

          • Maintain subsidiary and entity records, organizational charts, ownership records, and filing calendars

          • Coordinate Delaware filings, foreign qualifications, annual reports, registered-agent matters, and business licenses

          • Support preparation and maintenance of corporate policies and compliance records

          • Track training, certifications, acknowledgments, and periodic compliance requirements

          • Support document-retention, insider-trading, whistleblower, related-party transaction, and other corporate compliance processes

          • Coordinate responses to routine governmental, auditor, insurer, and third-party information requests

What Success Looks Like in the First 6–12 Months

  • Become a trusted and reliable partner to the General Counsel, securities counsel, Finance team, executive leadership, and outside counsel

  • Build a well-organized legal operations system that gives the company clear visibility into contracts, corporate records, legal matters, deadlines, and outside counsel spending

  • Establish and maintain a complete, accurate, and searchable contract repository

  • Create a reliable contract intake, approval, signature, storage, and renewal process

  • Take primary ownership of the legal data room, diligence tracker, closing checklists, and document organization for significant transactions

  • Establish a comprehensive corporate, governance, securities, and compliance calendar

  • Improve the organization and completeness of Board, committee, entity, stockholder, and corporate records

  • Develop effective processes for director and officer questionnaires, insider lists, Section 16 support, and governance administration

  • Reduce the amount of administrative and project-management work performed by outside counsel

  • Implement a consistent process for reviewing outside counsel invoices and tracking legal spending against budgets

  • Help implement or improve contract lifecycle management, Board management, entity management, and legal workflow tools

  • Create clear templates, checklists, and guidance that allow business teams to work with Legal more efficiently

  • Ensure important legal projects move forward without missed deadlines, unclear ownership, or unnecessary duplication

Required Qualifications

  • Approximately 5–10+ years of relevant experience as a corporate paralegal, legal operations professional, contract administrator, or in a similar legal support role

  • Experience supporting corporate transactions, financings, securities matters, corporate governance, or Board processes

  • Experience managing diligence requests, data rooms, closing checklists, signature processes, and transaction documents

  • Strong experience maintaining corporate records, minute books, entity information, and governance materials

  • Experience administering contracts, legal intake processes, or contract repositories

  • Strong project-management and organizational skills

  • Ability to manage multiple time-sensitive workstreams with limited supervision

  • Excellent attention to detail and a strong commitment to complete and accurate records

  • Strong written and verbal communication skills

  • Sound judgment regarding confidentiality, privilege, sensitive information, and escalation of legal issues

  • Ability to work effectively with executives, directors, attorneys, Finance personnel, outside counsel, and employees across the company

  • Comfort working in a fast-moving environment where processes are still being developed

  • Ability to identify process problems and propose practical solutions

  • Low ego, high integrity, and a willingness to handle both strategic projects and detailed administrative work

  • Proficiency with Microsoft Office, Google Workspace, electronic signature platforms, document-management tools, and virtual data rooms

  • Ability to work onsite regularly at Range’s Mountain View office and to increase onsite availability during transactions, Board meetings, closings, filings, and other critical periods

Preferred / Nice-to-Haves

  • Experience supporting an IPO, de-SPAC transaction, public-company transition, financing, acquisition, or other major corporate transaction

  • Experience working at both a law firm and an in-house legal department

  • Experience supporting a public company or late-stage venture-backed company

  • Familiarity with SEC filings, Section 16 reporting, EDGAR, Nasdaq requirements, and public-company governance

  • Experience administering Board portals, cap-table platforms, entity-management systems, or contract lifecycle management systems

  • Experience with legal billing systems, matter management, outside counsel guidelines, and department budgeting

  • Experience preparing or administering nondisclosure agreements, amendments, statements of work, and other routine commercial contracts

  • Familiarity with stock administration, equity plans, director compensation, and executive questionnaires

  • Experience in automotive, transportation, clean technology, energy, advanced manufacturing, software, or another regulated industry

  • Paralegal certificate or equivalent corporate paralegal training

  • Notary commission or willingness to become a notary

  • Experience helping build or scale a legal department


Compensation & Benefits

Range Energy’s compensation package includes a competitive salary, equity for all full-time roles, and a generous benefits package. The salary range for Mountain View, CA based applicants is between $140,000 - $207,000 annually. The total compensation will be determined based on multiple factors including domain knowledge, experience and location.
