Requirements

Essential Job Functions (Duties/Responsibilities):

  • Obtaining, reviewing, and summarizing lien and litigation searches from various state and local jurisdictions.
  • Preparing articles of organization and incorporation. Drafting operating agreements and creating organizational structures. Ordering corporate and tax certificates of good standing from vendors in appropriate jurisdictions; review results and assist with resolving issues, as needed.
  • Reviewing finance and closing documents, including credit agreements, security agreements, pledge agreements, indentures, mortgages, and payoff documents, for UCC provisions, authority to file liens and terminations, and other UCC-related requirements.
  • Preparing and filing UCC-1 financing statements, including collateral exhibits, and UCC-3 amendments, continuations, and terminations at the state and local levels in connection with various types of transactions, including secured transactions representing both borrowers and lenders.
  • Coordinating with service companies regarding UCC filings and terminations required in connection with transaction closings.
  • Managing UCC post-closing matters, including obtaining and reviewing filing evidence, preparing and tracking continuations and amendments, and conducting post-closing searches.
  • Preparing documents relating to a variety of real estate and loan matters, based on consultation with business and legal team members and reviewed by attorneys.
  • Providing general assistance in real estate, acquisition, disposition, financing, construction, development, and operational transactions.
  • Proofreading legal documents to ensure accuracy and consistency.
  • Working closely with attorneys and the business team to resolve a variety of day-to-day issues and supporting a broad range of commercial transactions and projects.
  • Performing corporate due diligence.
  • Assisting attorneys and other paralegals with real estate due diligence reviews.
  • Anticipating typical transaction requirements and work with supervisors to ensure all aspects of assigned matters are addressed.
  • Multi-tasking and prioritizing work assignments to consistently provide high-quality work product within strict deadlines.
