Position Overview:

This team is the connective tissue that holds the organisation together, and we are looking to add an individual to what is already a strong team — someone who can learn and grow within the company. We are seeking a person with a curious and proactive mindset, who is excited about learning and asking "why." As a Corporate Secretary, you will work with senior individuals across the firm and be exposed to a variety of tasks. We believe this represents an excellent opportunity for an enthusiastic, hard-working professional to develop their career and build experience in a demanding but rewarding environment.

Primary Responsibilities:

  • Day-to-day administration tasks for AIFM, funds and corporates
  • Coordinating and scheduling meetings (boards, shareholder meetings and committees)
  • Coordinating the preparation and review of meeting minutes and related documents, such as board packs, minutes, notarial deeds, and agreements
  • Coordinating formalities (powers of attorney, changes to Managers/Directors, apostilles)
  • Coordinating the incorporation, administration, and liquidation of companies, including handling all types of corporate events
  • Coordinating the timely filing of periodic company documentation
  • Monitoring the legal good standing (RCSL/RBE) of funds and related entities
  • Supervising the maintenance of accurate legal records and internal databases
  • Implementing processes or systems to help ensure best-practice management of the organisation and compliance with legislation
  • Communicating with external professionals involved in corporate governance for AIFM, funds and corporates

Key Requirements / Qualifications: (essential unless otherwise stated)

  • Degree-educated (a degree in Law would be an advantage) or equivalent
  • Minimum of 5 years' relevant working experience — not necessarily in a company secretary role, but within the Luxembourg fund industry (experience with alternative investment funds would be an advantage)
  • Good knowledge of the fund environment (regulated/unregulated)
  • Strong Excel, PowerPoint and Word skills, with the ability to quickly grasp new software
  • Strong attention to detail
  • Enjoys taking initiative, is curious, and has a genuine desire to learn
  • Comfortable challenging the status quo and asking "why"
  • Strong team player with a collaborative mindset and a high degree of flexibility
  • Self-starter, proactive, and able to manage competing deadlines
  • Confident approach and strong communication skills with clients and colleagues
  • Fluency in English is required
  • International mindset
