What you'll do:

As Vice President – Loan Transactions and Commercial Risk Management, you will play a pivotal role in supporting complex loan transactions from inception through execution. Your day-to-day responsibilities will involve coordinating deal teams across multiple jurisdictions, structuring mandates, drafting term sheets, and overseeing the entire loan documentation process. You will engage directly with clients as well as external legal advisors to ensure all aspects of each transaction are handled efficiently. By focusing on acquisition finance and structured deals, you will help deliver innovative debt financing solutions tailored to client needs. Your ability to integrate loans with bond offerings will be crucial in providing comprehensive financial services. Success in this role requires proactive engagement with both internal departments—such as Agency and Loan Administration—and external parties including trustees and lawyers. You will also monitor regulatory changes relevant to the Asia-Pacific region, participate in committees addressing these developments, maintain accurate records of agreements, advise on commercial risks, and ensure compliance with all local regulatory requirements. Your collaborative approach will be key in driving successful outcomes for clients while upholding the highest standards of risk management.

 

  • Provide comprehensive transaction support and commercial risk management for underwritten and syndicated loans, ensuring all ancillary documentation is accurately prepared and managed.
  • Coordinate deal teams effectively, taking responsibility for timely execution of complex transactions while maintaining clear communication among all stakeholders.
  • Structure, negotiate, and draft mandate documentation and term sheets with meticulous attention to detail, ensuring alignment with client objectives.
  • Take ownership of the loan documentation process from a commercial perspective, reviewing and negotiating terms to optimise outcomes for clients.
  • Focus on acquisition finance and structured transactions, delivering tailored debt financing solutions that meet client needs.
  • Support integration of loans and bonds by collaborating with internal teams to provide seamless debt financing options.
  • Liaise directly with clients, external lawyers, trustees, and other parties involved in transactions to ensure smooth execution and compliance with regulatory requirements.
  • Work closely with regional origination and distribution teams to deliver on agreed KPIs through effective coordination and communication.
  • Engage in direct client interaction by leading transaction correspondence with external parties and managing relationships throughout the process.
  • Coordinate internal stakeholders such as Agency and Loan Administration departments to ensure their requirements are satisfied prior to funding.

 

What you bring:

The ideal candidate for Vice President – Loan Transactions and Commercial Risk Management will bring substantial legal expertise gained from either private practice at top-tier law firms or significant in-house roles within major banks or financial institutions operating across Asia. Your deep understanding of loan transaction processes—including preparation of confirmations for both straightforward and complex deals—will be complemented by your ability to review netting arrangements, collateral structures, and enforceability opinions spanning multiple jurisdictions. Experience navigating regulatory frameworks in Singapore or other Asian markets is essential; familiarity with broader Asia-Pacific regulatory changes affecting financial markets will further distinguish you. You should possess outstanding interpersonal skills enabling effective collaboration across diverse teams as well as direct engagement with clients. Your results-driven approach ensures timely delivery even when managing heavy workloads against tight deadlines. Strong written communication skills are vital for drafting precise documentation; fluency in English is mandatory while additional language capabilities enhance your effectiveness in cross-border settings. A calm demeanour under pressure allows you to maintain accuracy during critical moments. Above all, your commitment to compliance standards ensures that every transaction meets rigorous legal requirements.

 

  • Singapore / English / Australian qualified mid-senior lawyer preferred; consideration given to candidates from other jurisdictions who demonstrate relevant expertise.
  • Experience at top-tier Singapore or English law firm or significant in-house experience within banks or financial institutions in Asia highly desirable.
  • At least 6 years’ post-qualification experience required; minimum 3 years’ hands-on involvement in loan transactions essential for success.
  • Proven track record preparing and negotiating confirmations for both vanilla and complex transactions within Asian jurisdictions.
  • Demonstrated ability obtaining and reviewing netting, collateral, and enforceability opinions across multiple Asian markets.
  • Extensive experience handling regulatory matters in Singapore or other Asian jurisdictions; familiarity with Asia-Pacific regulatory change impacting financial markets is advantageous.
  • Results-oriented mindset coupled with a strong sense of accountability; ability to operate with urgency while prioritising workload effectively.
  • Exceptional problem-solving skills combined with sound judgement; adept at managing large workloads under tight deadlines without compromising accuracy.
  • Excellent written and spoken English required; proficiency in additional Asian languages considered an advantage for cross-border communication.
  • Calm approach under pressure; proven capacity to perform well in high-stakes environments while maintaining attention to detail.
