Role
We are hiring a Corporate Paralegal to assist the corporate and operational backbone of that work. This is a hands-on role for someone who is happiest when the entity records are current, the contract repository is accurate, every executed document has a number and a home, and nothing is waiting on a signature that no one has chased. Roughly half the job is traditional corporate paralegal work, and half is legal operations: the systems, workflows and reporting that let a lean department carry a large volume.
It will be the second person in a two-person operational core, working directly with the Legal Affairs Coordinator and supporting our Executive Legal Counsel.
Tasks description
Corporate governance and entity management
- Maintain the corporate records for our US and LATAM entities: minute books, operating agreements, org charts, officer and director schedules, and the corporate entity register.
- Prepare and process routine governance documents, including board and member resolutions, written consents, officer certificates, secretary certificates and incumbency certificates.
- Handle entity formations, foreign qualifications, withdrawals and dissolutions; order certificates of good standing and certified copies; arrange apostilles and legalizations for LATAM filings.
- Track state registration triggers with Tax and Finance so we qualify where we have nexus, before a contract award forces it.
Contracts lifecycle
- Coordinate signature and execution across internal signatories and counterparties, chase outstanding signatures, and confirm and circulate fully executed copies.
- Maintain the contract repository so that status, counterparty, entity and effective date are accurate and current.
- Own the obligations calendar: renewals, expirations, notice deadlines and deliverable dates, with advance reminders to the responsible owner.
- Keep the executed-contracts library current and usable for Sales Engineering, Project Management and Supply Chain.
Document control and records
- Administer the legal document numbering system, assigning and recording document numbers across agreement types and keeping the register clean.
- Own the SharePoint architecture for Legal: naming conventions, folder structure, permissions and version control, so any executed document can be found in under a minute.
- File formal notices, change orders, insurance certificates and closing sets to the correct contract file, and keep the executed-contracts library current for Sales Engineering and Project Management.
- Support records retention and legal hold administration.
Legal operations and systems
- Maintain the legal request intake workflow, so requests arrive with the information Legal needs and are triaged consistently.
- Produce recurring reporting on request volume, turnaround times, NDA throughput and open matters.
- Support the drafting, formatting and publication of legal policies and standard operating procedures through Document Control.
Cross-functional support
- Support Finance and Tax with entity data, W-9s, certificates of good standing, KYC packages and customer onboarding questionnaires.
- Support Insurance and Risk with certificates of insurance, additional insured requests and contractual insurance requirements.
Qualification
Required
- Three to six years of corporate paralegal experience, with at least two of those years in an in-house legal department. In-house experience is a firm requirement for this role, not a preference.
- Demonstrated ownership of entity management and corporate governance
- entity portfolio, not just assisted on one.
- Hands-on experience administering contract records and execution: repositories, signature routing, filing and deadline tracking.
- Working command of a contract or document management system and of an e-signature platform, ideally DocuSign, including administration rather than just sending envelopes.
- Advanced Microsoft 365 skills, particularly SharePoint, Excel and Word, including document formatting, styles and comparison.
- Exceptional organization and follow-through. You keep your own tracker, you know what is outstanding without being asked, and items do not go quiet on your watch.
- Precision with detail. Entity names, signature blocks, effective dates, defined terms and document numbers are exactly right, because in this role they are the work product.
- Discretion with confidential commercial, financial and personnel information.
Strongly preferred
- Professional working proficiency in Spanish, written and spoken.
- Paralegal certificate from an ABA-approved program, or NALA Certified Paralegal (CP) or NFPA Registered Paralegal (RP/CRP) credential.
- Florida notary commission, or willingness to obtain one within ninety days.
- Experience in energy, renewables, construction, manufacturing or another asset-heavy industry with project-based contracting.
- Salesforce experience, particularly where Legal records or approvals sit inside the CRM.
- Exposure to legal spend management or e-billing.
- Bachelor’s degree.
