This is a 16-month contract role covering maternity leave. Reporting to the North American General Counsel, this role will provide support to the entire Canadian business with some cross-border North American work. This role provides the opportunity to be a generalist with a proactive, entrepreneurial and business-focused approach. You will solve complex legal issues facing the business, both locally and internationally, and mitigate legal risk. This role is designed for a lawyer who thrives in a fast-paced, high-volume environment.

The ideal candidate will be a transactional specialist with a background in both law firms and in-house environments. You will be responsible for a heavy contract workload, cross-functional North American collaboration, and proactive risk management. We need a strategic thinker who isn't afraid to roll up their sleeves to manage the day-to-day drafting and negotiations that keep the business moving. 

This is a high-volume, contract-heavy position requiring a lawyer with deep transactional experience who thrives in a quick-turnaround environment. You must be prepared to "roll up your sleeves" to manage the daily tasks of drafting and negotiation while maintaining the strategic vision to issue-spot and escalate risks appropriately.

• High-Volume Contract Lifecycle Management: Lead the drafting, review, and negotiation for all business pillars. 
• Brand & Marketing Support: Act as the legal lead for brand partnership agreements, influencer agreements, marketing sampling programs, and so on.
• Operational Legal Support: Provide legal contractual guidance to the overall operations team (including indirect and direct procurement and fleet and logistics teams on MSAs, SLAs, agency contracts, SaaS contracting, manage the legalities of warranties, returns, terminations, and renewals, oversee some employment matters, and update and maintain templates.
• Strategic Advisory & Research: Conduct legal research as needed on the Competition Act, copyright infringement, Consumer Protection Act, privacy legislation, sustainability requirements, and emerging new laws and regulations. 
• Issue Spotting & Escalation: Proactively identify potential liabilities. Manage the balance between independent problem-solving and appropriate escalation to the US General Counsel, global or local teams.
• Advocacy & Dispute Resolution: Draft formal legal correspondence, including letters for non-payment, demand/compensation letters, liability position statements, and cease and desist letters.
• Regulatory & Government Relations: Liaise with government bodies regarding corporate matters and business licensing, communicate directly with regulators to ensure compliance.
• Cross-Border Collaboration: Work cross-functionally with the U.S. legal team to align on North American agreements and ensure consistency across the region.
• External Counsel Management: Engage and oversee external legal counsel for specialized litigation or complex corporate matters, ensuring high-quality, cost-effective delivery.
• Compliance Leadership: Represent the business as the Data Privacy Officer (DPO) and the Local Compliance Officer for Canada.

• Professional Experience: You are an experienced lawyer (minimum 5+ years Ontario bar) with mandatory in house legal counsel experience, preferably at a Consumer Packaged Goods company, and also relevant law firm experience .
• Contract Specialist: You have a proven track record drafting and negotiating a wide variety of subject matters (including: marketing, procurement, operations) roles. You are comfortable managing a high volume of contracts with accuracy and speed.

We are seeking a highly ambitious M&A lawyer to join Beacon’s legal team and serve as the day-to-day legal lead on mergers and acquisitions transactions end-to-end, from LOI through post-closing. Reporting to Beacon’s VP, Legal, you will be the hands-on lawyer responsible for managing and executing deals – owning the legal workstreams, driving diligence, drafting and negotiating transaction documents, and ensuring deals get across the finish line. This is a high-impact, high-autonomy role for a lawyer who thrives in a fast-paced environment and wants to be at the center of Beacon’s acquisition strategy. You will run deals internally as the primary legal resource on each transaction, conducting due diligence in-house, working directly with our M&A team, managing relationships with opposing counsel, and handling post-closing matters across our growing portfolio. We are looking for someone who is ready to do the heavy lifting on deals – someone with broad legal judgment who can spot and address general legal issues beyond the four corners of the purchase agreement, and who is prepared to leverage AI tools to drive efficiency across the entire deal lifecycle.

Responsibilities

• End-to-End Internal Deal Execution: Own and execute all legal aspects of M&A transactions internally from LOI through closing and post-closing. Drafting, reviewing, and negotiating purchase agreements, ancillary documents, disclosure schedules, and all related transaction documents. You will be the primary lead lawyer on each deal - managing deal timelines, coordinating workstreams, and ensuring seamless execution across multiple simultaneous transactions without reliance on external counsel for core deal work.
• Direct Business Partnership: Work directly with Beacon’s investment and operations teams as the embedded legal partner on each deal. Provide real-time legal guidance on deal structure, risk allocation, and negotiation strategy, in accordance with Beacon’s standard playbooks, escalating to the VP, Legal or external counsel on material issues as needed.
• Internal Due Diligence: Lead and conduct legal due diligence internally on acquisition targets across all key areas - corporate, commercial contracts, employment, IP, litigation, regulatory, and real property. Identify key risks, flag material issues, and work with the deal team to develop appropriate risk mitigation strategies, including through representations, warranties, indemnities, and escrow arrangements. Synthesize findings into clear, actionable diligence summaries for the investment team.
• AI-Powered M&A/Legal: Leverage AI tools and technology to accelerate contract review, due diligence, document drafting, and legal research. Continuously identify opportunities to build and improve AI-assisted legal workflows that increase speed and reduce cost across the deal process.
• External Counsel Coordination: Directly manage and direct external legal counsel on specialized matters (tax, employment, IP, regulatory) as needed. You will own the day-to-day relationship with outside counsel on each deal, ensuring efficient use of outside resources and alignment with Beacon’s deal objectives and budget.
• Post-Closing Matters: Own post-closing legal obligations across the portfolio, including assisting with coordinating legal aspects of any working capital adjustments, earnout calculations and disputes, indemnification claims, escrow releases, consent and notice requirements, and integration-related legal matters. Track and manage all closing conditions, post-closing covenants, and transition services agreements to ensure timely fulfillment.
• Broad-Based Legal Review: Apply broad legal judgment to identify and address general legal issues that arise in the course of transactions. You are expected to spot issues across disciplines, triage appropriately, and either resolve them directly or engage specialized counsel when needed.

Qualifications

• J.D. from an accredited law school and member in good standing of at least one bar (California or Ontario preferred).
• 3–5 years of M&A experience at a top-tier law firm or in a transactionally heavy in-house role, with direct experience drafting and negotiating purchase agreements and related deal documents.
• Demonstrated ability to independently run an M&A transaction end-to-end - from LOI through closing and post-closing - including conducting due diligence internally, managing opposing counsel, and advising business stakeholders without requiring constant supervision.
• Highly Proficient with AI tools for legal work (e.g., AI-assisted contract review, document drafting, legal research). A genuine enthusiasm and need for integrating AI into day-to-day legal practice is essential.
• Strong knowledge of U.S. and/or Canadian M&A legal frameworks, including asset and share purchase structures, representations and warranties, indemnification, and regulatory considerations. Broad familiarity with adjacent legal areas - corporate governance, employment, IP, commercial contracts, privacy - sufficient to identify and triage general legal issues in the course of transactions and portfolio company operations.
• Comfortable operating in a fast-paced, high-volume deal environment with multiple concurrent transactions and shifting priorities.
• Excellent written and verbal communication skills, with the ability to translate complex legal concepts into clear, actionable guidance for non-legal business partners.
• Experience with vertical market software, SaaS, or technology-focused M&A transactions is a strong plus.

We are seeking Commercial Contract Lawyers to work with our clients at some of the world’s largest retail, technology, consumer goods, and professional services companies.

Responsibilities:

• Draft, review and negotiate commercial contracts, including but not limited to vendor agreements, supply agreements, IT agreements, licensing agreements, SaaS agreements, service agreements, and non-disclosure agreements, ensuring they are in compliance with relevant laws, regulations and company policies.

We are seeking a Derivatives Lawyer to join our expanding bench of legal professionals supporting top-tier clients in the financial services sector. This role is ideal for a motivated lawyer with experience advising on derivatives, trading, and capital markets transactions, and a strong understanding of Canadian securities and derivatives regulation.

Responsibilities:

• Draft, negotiate, and advise a variety of derivatives and trading agreements.
• Provide legal advice on regulatory, compliance, and transactional issues affecting derivatives and financial markets activities.
• Support clients in understanding and managing legal and regulatory risks across trading and investment operations.
• Monitor regulatory developments and assess their impact on business practices and documentation.

Qualifications: 

• 8+ years of experience in derivatives, trading, or capital markets law, ideally from a major law firm, financial institution and/or in-house legal team.
• Deep familiarity with Canadian derivatives regulation and related securities law frameworks.

We are currently seeking Payments Lawyers to work with Canada’s largest in-house banking and financial institutions. This role offers the opportunity to influence major financial operations and innovate within the rapidly evolving payments sector. Ideal candidates will have 4+ years of related experience with deep understanding of regulations impacting payments systems and services. 

Responsibilities:

• Working with and advising business clients directly to provide comprehensive legal counsel on a range of regulatory and transactional matters concerning payment systems and services for large financial institutions, including card issuing, ACH payments, mobile payments, card schemes and payment networks, gift cards, B2B payments and other emerging payment systems.
• Drafting, negotiating and executing cards/payments documentation, marketing client facing materials including Terms and Conditions and contracts relating to the full practical legal advice and support on business matters in a dynamic environment.
• Collaborate with the internal business, legal and compliance teams to analyze and interpret proposed payment related legislation and regulations (both domestic and international) and their effect on current or pending products.
• Provide counsel on payments systems and services and draft related documentation.

Qualifications: 

• 5+ years of experience working in-house or in-firm advising banks, financial institutions or payment related corporations.
