Senior Paralegal, Entity Governance & REIT Structure, serves as a senior legal resource and subject matter expert for QTS’ domestic and international entity portfolio. The role independently manages complex entity governance and corporate secretary activities, supports the integrity of QTS’ REIT and subsidiary structure, and partners with Legal, Tax, Finance, Treasury, Accounting, Development, and other stakeholders on formations, reorganizations, transactions, compliance requirements, and strategic initiatives. This position operates with minimal oversight, anticipates risks and deadlines, presents practical solutions, and mentors other legal professionals while maintaining precise and audit-ready corporate records.

Responsibilities, other duties may be assigned.

  • Own the day-to-day governance and lifecycle management of QTS’ domestic and international legal entities, including corporations, limited liability companies, limited partnerships, joint ventures, and special-purpose entities.
  • Serve as a subject matter expert on QTS’ corporate organization, including the relationships among the parent REIT, operating partnership, taxable REIT subsidiaries, property-owning entities, acquisition entities, development entities, and other subsidiaries.
  • Partner with attorneys, Tax, Finance, Treasury, and Accounting to evaluate proposed entity actions and help ensure formations, ownership changes, intercompany arrangements, reorganizations, and dissolutions are implemented consistently with the approved corporate and REIT structure.
  • Prepare, review, file, and maintain entity formation, qualification, amendment, conversion, merger, dissolution, withdrawal, and other corporate documents in U.S. and international jurisdictions.
  • Lead corporate secretary support for subsidiaries, including preparation and maintenance of board and shareholder/member consents, resolutions, minutes, meeting materials, notices, agendas, officer certificates, incumbency certificates, powers of attorney, delegations of authority, and officer and director appointments or resignations.
  • Maintain complete and accurate corporate books and records, including charters, bylaws, operating and partnership agreements, registers, ownership records, minute books, officer and director rosters, good-standing evidence, and governing documents.
  • Manage the corporate entity management platform and serve as the primary owner of entity data standards, controls, recurring reviews, access, user training, and data quality.
  • Own and maintain corporate organizational charts and legal ownership records; reconcile changes across the entity platform, governing documents, and stakeholder records.
  • Develop and administer a comprehensive compliance calendar for annual reports, franchise and business filings, board and shareholder/member actions, registered agent requirements, foreign qualifications, and other recurring obligations.
  • Coordinate KYC, AML, beneficial ownership, UBO, and similar due diligence requests for U.S. and international entities; maintain reusable, current supporting documentation and escalate legal or compliance questions appropriately.
  • Support acquisitions, dispositions, financings, restructurings, and other strategic transactions by coordinating entity due diligence, preparing organizational materials, managing signatures and closings, tracking post-closing actions, and updating entity records.
  • Manage registered agent and entity-related vendor relationships, including service levels, invoicing, portfolio updates, issue escalation, and continuous improvement.
  • Coordinate incoming service of process and other official notices, confirm prompt routing to the appropriate attorney or business owner, and maintain accurate tracking records.
  • Support the SAM.gov entity management process, including registrations, renewals, updates, and maintenance of supporting.
  • Support the management of the Master Corporate Organizational Chart by coordinating updates, validating entity ownership information, and reconciling changes against governing documents and entity records.
  • Monitor changes in corporate governance and entity-management requirements; research complex or unfamiliar issues, summarize implications, and present recommended options to counsel and stakeholders.
  • Design, document, and improve entity governance workflows, templates, playbooks, controls, and reporting to increase accuracy, consistency, efficiency, and audit readiness.
  • Lead complex entity projects with cross-functional impact, independently manage priorities and deadlines, and provide clear status reporting and escalation of risks or decisions needed.
  • Mentor and train paralegals, legal operations professionals, and business stakeholders on entity governance processes, corporate records, entity systems, and QTS’ organizational structure.

Basic Qualifications:

  • Bachelor’s degree or equivalent combination of education and relevant professional experience.
  • Minimum 5 years of corporate paralegal or corporate governance experience, including substantial responsibility for legal entity management.
  • Demonstrated experience independently managing a large or complex portfolio of domestic entities, corporate records, governance actions, and recurring compliance obligations.
  • Working knowledge of corporate and subsidiary structures, including experience supporting entity actions involving an operating partnership, taxable REIT subsidiaries, property-owning entities, and special-purpose entities.
  • Experience preparing corporate secretary materials and entity documents, including consents, resolutions, minutes, formation and dissolution documents, officer and director changes, and powers of attorney.
  • Experience supporting corporate transactions, reorganizations, financings, acquisitions, dispositions, or similar projects involving entity due diligence and post-closing actions.
  • Experience with a corporate entity management platform, registered agent services, and organizational chart maintenance.

Preferred Qualifications:

  • Paralegal certificate from an ABA-approved program or other recognized paralegal credential.
  • Experience supporting a publicly traded REIT, real estate company, data center company, private equity-backed organization, or comparably complex multinational structure.
  • Experience with international entity governance, annual meetings, registers, KYC/AML, beneficial ownership, and UBO requirements.
  • Experience with CSC or a comparable entity management and registered agent platform.
  • Experience developing governance controls, process maps, templates, playbooks, dashboards, or automation for entity-management workflows.

Knowledge, Skills and Abilities:

  • Deep knowledge of entity lifecycle management, corporate governance practices, corporate records, and corporate secretary requirements.
  • Ability to understand complex ownership structures and translate legal entity relationships into clear organizational charts, summaries, and practical guidance for business stakeholders.
  • Advanced independent judgment and problem-solving skills, including the ability to research unfamiliar issues, identify risks, develop well-reasoned options, and know when attorney review is required.
  • Proactive and strategic approach to recurring obligations, upcoming transactions, and stakeholder needs; anticipates issues and drives work forward without waiting for direction.
  • Exceptional attention to detail and commitment to accurate, complete, consistent, and audit-ready records.
  • Strong project management skills with the ability to lead multiple complex workstreams, prioritize competing deadlines, and coordinate across functions and jurisdictions.
  • Excellent written, verbal, presentation, organizational, and interpersonal skills; able to communicate effectively with all levels of leadership and with external counsel and vendors.
  • Ability to influence cross-functional stakeholders, build trusted working relationships, and serve as an escalation point for complex entity questions.
  • Demonstrated ability to mentor and train colleagues and establish consistent standards and best practices.
  • High degree of discretion, accountability, professionalism, and sound judgment when handling confidential and sensitive information.
  • Advanced proficiency with Microsoft 365, including Word, Excel, PowerPoint, Outlook, OneDrive, SharePoint, and Teams, as well as DocuSign or comparable electronic signature tools.
